Targeted Bonus definition

Targeted Bonus means, for each fiscal year of the Company, either (i) a bonus program in which the Grantee shall be entitled to participate, which provides the Grantee with a reasonable opportunity, based on the past compensation practices of the Company and the Grantee’s then base salary, to maintain or increase the Grantee’s total compensation compared to the previous fiscal year or (ii) a targeted bonus based on such factors as the Board may determine.
Targeted Bonus means the targeted bonus for Executive's position as set forth in the Company's Executive Incentive Compensation Plan ("EICP") established for the then applicable fiscal year, which shall be equal to fifty percent (50%) times the maximum amount which Executive could earn under the EICP with respect to established quantifiable and objective financial goals.
Targeted Bonus means, for each fiscal year of the Company, either (i) a bonus program in which the Participant shall be entitled to participate, which provides the Participant with a reasonable opportunity, based on the past compensation practices of the Company and the Participant’s then base salary, to maintain or increase the Participant’s total compensation compared to the previous fiscal year or (ii) a targeted bonus based on such factors as the Board may determine.

Examples of Targeted Bonus in a sentence

  • If the Targets have been met, then Executive shall receive a Targeted Bonus for such preceding year.

  • If the Goals are not achieved such that the entire Targeted Bonus is not payable, the Bonus Plan shall provide for a payment of a Bonus Amount equal to a portion of the Targeted Bonus reasonably related to that portion of the Goals that were achieved.

  • This Targeted Bonus shall be reviewed for increases at least annually by the Board on the same basis as the Board shall review the compensation of other executive officers of the Company.

  • The amount of the bonus (the "Bonus Amount") that the Executive will be eligible to earn under the Bonus Plan shall be no less than the amount of the Executive's maximum award provided in such Company Bonus Plan (such bonus amount is referred to as the "Targeted Bonus").

  • In the event that the established Targets are exceeded, then Executive shall be entitled to receive additional bonus amounts above the Targeted Bonus as the Company’s Chief Executive Officer in collaboration with the Board (or such committee) may determine in their discretion.


More Definitions of Targeted Bonus

Targeted Bonus means, when used with reference to any Participant at any time, the amount determined by multiplying (i) the annual base salary of such Participant in effect immediately prior to the earlier of (A) the date on which an event occurs that results in such Participant terminating his or her employment for Good Reason and (B) the actual date of such Participant's termination by the Company for any reason other than Misconduct or Disability times (ii) such Participant's Target Bonus Percentage, if any, in effect on such earlier date under the Company's bonus plan for salaried employees.
Targeted Bonus means, when used with reference to any Participant at any time, the amount determined by multiplying the annual base salary of such Participant in effect immediately prior to the applicable Change of Control times such Participant's Target Bonus Percentage, if any, in effect immediately prior to the date on which such Change of Control occurs under the Company's bonus plan for salaried employees.
Targeted Bonus means the highest of (i) the maximum bonus opportunity established by the Committee for Executive or, if the Committee has not established Executive’s bonus opportunity for the year in which Executive’s Involuntary Termination occurs, 100% of Executive’s Base Compensation, (ii) the maximum bonus opportunity established by the Committee for Executive for the immediately preceding year, or (iii) the maximum bonus opportunity established by the Committee for Executive immediately prior to the Change in Control.
Targeted Bonus means, with respect to any Participant, the amount determined by multiplying (a) the annual base salary of such Participant in effect immediately prior to the Date of Computation times (b) such Participant’s Bonus Percentage, if any, in effect at the “Target Payout Level” (i.e., 1x level) on the Date of Computation under the Company’s bonus plan for salaried employees.
Targeted Bonus means the incentive bonus that would have been payable pursuant to Section 2(c) for the fiscal year that includes the date on which your employment terminates and the fiscal year thereafter assuming that under the bonus plan in effect on the date of your termination, you had been entitled to receive an amount in respect of such bonus based solely upon your Base Salary and the applicable target percentage as of the date of termination and for the fiscal year thereafter, respectively, and without regard to actual performance. Further, a bonus shall be deemed to be earned upon completion of the fiscal year to which it relates regardless of whether the Board of Directors or its Compensation Committee has approved incentive bonuses for such year as of the date of termination.
Targeted Bonus means, with respect to any Participant, the amount determined by multiplying (a) the annual base salary of such Participant in effect immediately prior to the Date of Computation times (b) such Participant's individual incentive percentage, if any, in effect at the "Target Payout Level" on the Date of Computation under the Company's incentive plan applicable to such Participant as of the Date of Computation.
Targeted Bonus means (i) when used with reference to any Existing Participant at any time, the amount set forth opposite such Existing Participant's name on Exhibit B attached hereto under the heading "Targeted Bonus" and (ii) when used with reference to any other Participant at any time, the amount determined by multiplying (A) the annual base salary of such Participant in effect immediately prior to the earlier of (x) the date on which an event occurs that results in such Participant terminating his or her employment for Good Reason and (y) the actual date of such Participant's termination by the Company for any reason other than Misconduct or Disability times (B) such Participant's Target Bonus Percentage, if any, in effect on such earlier date under the Company's bonus plan for salaried employees.
