All costs relating to the Tax Professional shall be borne exclusively by the Company.
As a result of the uncertainty in the application of Section 4999 of the Code at the time of the initial determination by the Tax Professional hereunder, it is possible that a Gross-Up Payment which will not have been made by the Company should have been made (“Underpayment”).

WPX shall bear all costs the Tax Professional may reasonably incur in connection with any calculations contemplated by Section 3.1.
