  • If a part of the Agreement is to be sublet, the Design/Builder shall either: Cover all Team Subcontractors and Subcontractors in its insurance policies, or Require each Team Subcontractor and Subcontractor not so covered to secure insurance which will protect subcontractor against all applicable hazards or risks of loss as and in the minimum amounts designated.

  • The Design/Builder, as part of its agreements with any Team Subcontractor, Subcontractor or consultant, will secure such license and use rights from each such entity, and shall defend, indemnify and hold the Owner and any successors or assigns harmless from any claims from such for claims by such entities for copyright or patent infringement.

  • For purposes of this Agreement, Design/Builder hereby agrees to indemnify, defend and hold harmless the Owner, its employees and agents from any and all Loss where Loss is caused or incurred or alleged to be caused or incurred in whole or in part as a result of the negligence or other actionable fault of the Design/Builder, Team Subcontractor or Subcontractor, their affiliates, subsidiaries, employees, agents and assignees and their respective servants, agents and employees.

  • All Team Subcontracts shall incorporate the terms of this Agreement and the Contract Documents to the extent applicable to the Work to be performed by the Team Subcontractor.

  • The Team Subcontracts shall require each Team Subcontractor, to the extent of the Work to be performed by such Team Subcontractor, to assume towards the Design/Builder all the obligations and responsibilities which the Design/Builder by the Contract Documents assumes towards the Owner.

  • As such, the Government is looking for HTRW experience on CERCLA Remedial Action (RA) or Long-Term Response Action (LTRA) projects performed by the offeror, Joint Venture Partner, or Team Subcontractor that meet the criteria detailed below.

  • If work is being performed solely by Team Subcontractor personnel and there is no on-scene presence of a representative from the prime contractor, the contractor agrees to provide such subcontractor(s) with the authority to take direction as its agent and to make decisions on its behalf.

  • Subcontractor means any supplier, distributor, vendor, or firm that furnishes supplies or services to or for a prime contractor or another subcontractor.

  • Contractor means the individual or entity, that has entered into this contract with the Commonwealth.

  • Prime Contractor as used in this clause, means a person who has entered into a prime contract with the United States.

  • Subcontractors means subcontractors or subconsultants at any tier that are under the direct or indirect control or responsibility of the Contractor, and includes all independent contractors, agents, employees, authorized resellers, or anyone else for whom the Contractor may be liable at any tier, including a person or entity that is, or will be, providing or performing an essential aspect of this Contract, including Contractor’s manufacturers, distributors, and suppliers.

  • Contractor Project Manager means the employee identified in a Statement of Work as the Contractor project manager.

  • Sub-Contractor means the person named in the Contract for any part of the works or any person to whom any part of the contract has been sublet by the contractor with the consent in writing of the Engineer-in-charge and will include the legal representatives, successors and permitted assigns of such persons.

  • General Contractor means a person or entity duly licensed in the state of Florida with the requisite skills, experience and credit worthiness to successfully provide the units required in the Application, and which meets the criteria described in Rule 67-48.0072, F.A.C.

  • Third Party Contractor as used in the Student Data Protection Act and “Operator” as used in COPPA. De-Identified Information (DII): De-Identification refers to the process by which the Contractor removes or obscures any Personally Identifiable Information (“PII”) from Education Records in a way that removes or minimizes the risk of disclosure of the identity of the individual and information about them.

  • Subcontract means any contract as defined in subpart 2.1 entered into by a subcontractor to furnish supplies or services for performance of a prime contract or a subcontract. It includes but is not limited to purchase orders, and changes and modifications to purchase orders.
