Technology Improvement definition

Technology Improvement means any improvements, enhancements or modifications to the Marina Bio Technology created solely. by Marina Bio within [***] of the Effective Date of the Agreement and which are not created pursuant to any agreement between Marina Bio and a Third Party, but excluding agreements with a contract research organization or consultant (or similar organization) that is contracted to improve the technology on behalf of Marina Bio and where Marina Bio owns or has exclusive license rights to the improvements made under such agreement.
Technology Improvement. Means that the License Owner permits the licensee to implement the technology based on improved technology
Technology Improvement means optical sorting technologies and/or other process or design changes at the PCF.

Examples of Technology Improvement in a sentence

  • Notwithstanding any other provision of this Agreement, Background Technology Improvements will belong to (a) the respective Party owning the Background Technology to which any such Background Technology Improvement solely relates, or (b) both Parties (thereafter to be treated as Joint Collaboration Technology) if such Background Technology Improvement relates to both Parties’ Background Technology, in each case ((a) and (b)) irrespective of which Party made the Background Technology Improvement.

  • As soon as practicable following the satisfaction or waiver of the conditions set forth in Article V, the Parties shall make all filings or recordings required under Nevada Statutes and the securities law, including without limitation the filing of articles of exchange with the Nevada Secretary of State.

  • In order to file, prosecute and defend and Patent Rights claiming any BsAb Improvement, BsAb Technology Improvement, or Parental Antibody Improvement, each Party shall upon request of the other Party, which shall not be unreasonably made, (a) make the Records available to the other Party or its designee for inspection; and (b) provide copies of the Records or any part(s) thereof to the other Party or its designee.

  • Pieris shall solely own all right, title and interest in and to (a) all Pieris Background IP, (b) all Pieris Foreground IP and (c) all Anticalin Technology Improvement IP.

  • If Sanofi has so agreed such Anticalin Technology Improvement IP shall become part of Pieris Licensed IP at no additional costs for Sanofi other than the financial terms set forth herein.

  • In addition, prior to the expiration of the Option Notice Period, ▇▇▇▇▇ shall not have the right to use any ▇▇▇▇▇ Technology Improvement within any of the Additional Fields or to sublicense any ▇▇▇▇▇ Technology Improvement for use within any of the Additional Fields.

  • For purposes of clarity, any Merck Patents that (a) claim Improvements related to Manufacturing or (b) claim any Improvements related to or including any peptide, protein or Antigen Controlled by Merck shall not constitute a ▇▇▇▇▇ Technology Improvement.

  • To Licensor’s Knowledge, the Licensed Antibodies are not covered by any Adimab Platform/Core Technology Improvement, Broad Target/Non-CDR Antibody Patent, Adimab Program Inventions, Adimab Platform/Background Patents, or Epitope Patent, (as such terms are defined in the Adimab Agreement).

  • All manholes installed within the Lincoln Technology Improvement District shall comply with the City of Lincoln Construction Standard Specifications and Standard.
