Technology Transfer Date will mean the date when a "Foundry" is considered an "Operational Foundry" under the terms of that certain License and Technical Assistance Agreement of even date herewith between the Company and the Holder (the "License Agreement"), and the terms "Foundry and "Operational Foundry" will have the meanings given them in the License Agreement.
