Each of the Fiscal Agent and the Replacement Agent (if necessary) is authorised by the relevant Issuer to authenticate and, if applicable, effectuate such Temporary Global Securities, Permanent Global Securities and Definitive Securities, as may be required to be authenticated or, as the case may be, effectuated hereunder by the signature of any of their respective officers or any other person duly authorised for the purpose by the Fiscal Agent or (as the case may be) the Replacement Agent.
The relevant Issuer may, at its option, deliver from time to time to the Fiscal Agent a stock of Master Temporary Global Securities and Master Permanent Global Securities.
The Issuer shall also arrange for such unauthenticated Temporary Global Securities, Permanent Global Securities, Definitive Securities, Coupons and Talons as are required to enable the Replacement Agents to perform their obligations under Clause 5 (Replacement Securities, Coupons and Talons) to be made available to or to the order of the Replacement Agents from time to time.
If Temporary Global Securities of any series are issued, any such Temporary Global Security shall, unless otherwise provided therein, be delivered to the Common Depositary for the benefit of Euroclear and Clearstream, for credit to the respective accounts of the beneficial owners of such Securities (or to such other accounts as they may direct).
In connection with such exchange, the Trustee shall hold the Regulation S Permanent Global Securities as custodian for the Depositary or its nominee, reflect on its books and records the date of such exchange and cancel the Regulation S Temporary Global Securities.
Simultaneously with the authentication of Regulation S Permanent Global Securities of any series, the Trustee shall cancel the Regulation S Temporary Global Securities with respect to such series.
If Temporary Global Securities or Permanent Global Bearer Securities are issued as permitted by Section 305, the form thereof shall be established as provided in the preceding sentence.
Except in the case of Temporary Global Securities, including temporary securities in global bearer form (“Temporary Global Bearer Securities”) (which shall be exchanged in accordance with the provisions of the following paragraphs) if temporary Securities of any series are issued, the Issuer will cause definitive Securities of the series to be prepared without unreasonable delay.
Bearer Notes represented by Temporary Global Securities or Permanent Global Securities will be delivered to a common safekeeper (the "Common Safekeeper") for Euroclear and/or Clearstream, Luxembourg, if in NGN form.
Until so exchanged, Temporary Global Securities and Permanent Global Securities shall in all respects be entitled to the same benefits under this Indenture as Definitive Securities of the same Series authenticated and delivered hereunder.
