Temporary Increase Request definition

Temporary Increase Request means a request by a Seller Party for a Temporary Increase in the form of Exhibit G hereto.

Temporary Increase Request means a written request from the Borrowers to the Administrative Agent for a Temporary Increase substantially in the form of Exhibit R hereto.

Examples of Temporary Increase Request in a sentence

• Buyer may from time to time, in its sole and absolute discretion, consent to such Temporary Increase, by returning to such Seller Party a countersigned Temporary Increase Request.

• A Seller Party may request a temporary increase of the Maximum Aggregate Purchase Price (a “Temporary Increase”) by submitting to Buyer an executed Temporary Increase Request, setting forth the requested increased Maximum Aggregate Purchase Price (such increased amount, the “Temporary Maximum Aggregate Purchase Price”) and the effective date and expiration date of such Temporary Increase.

• Seller may request a temporary increase of the Maximum Aggregate Purchase Price (a “Temporary Increase”) by submitting to Buyer an executed Temporary Increase Request, setting forth the requested increased Maximum Aggregate Purchase Price (such increased amount, the “Temporary Maximum Aggregate Purchase Price”) and the effective date and expiration date of such Temporary Increase.

• Seller Party may request a temporary increase of the Maximum Aggregate Purchase Price (a “Temporary Increase”) by submitting to Buyer an executed Temporary Increase Request, setting forth the requested increased Maximum Aggregate Purchase Price (such increased amount, the “Temporary Maximum Aggregate Purchase Price”) and the effective date and expiration date of such Temporary Increase, which such Temporary Increase Request shall become effective upon receipt by Buyer.

• The Seller may request a temporary increase of the Maximum Aggregate Purchase Price (a “Temporary Increase”) by submitting to Buyer an executed Temporary Increase Request, setting forth the requested increased Maximum Aggregate Purchase Price (such increased amount, the “Temporary Maximum Aggregate Purchase Price”) and the effective date and expiration date of such Temporary Increase.

• None of the Agent and the Lenders shall be obligated in any manner to execute any further agreement approving a Temporary Increase and if any Temporary Increase Request is delivered in the future, such request may be denied or conditioned upon such terms as the Lenders, in their unrestricted discretion, may determine.

• Sellers may request a temporary increase of the Maximum Aggregate Purchase Price (a “Temporary Increase”) by submitting to Buyer an executed Temporary Increase Request, setting forth the requested increased Maximum Aggregate Purchase Price (such increased amount, the “Temporary Maximum Aggregate Purchase Price”) and the effective date and expiration date of such Temporary Increase, which such Temporary Increase Request shall become effective upon receipt by Buyer.

• Pursuant to a Temporary Increase Request dated as of [_________, 20__], the Borrower has requested a Temporary Increase consisting of an increase in the Commitment of $[_________] for a period commencing on [__________, 20__] and ending on [_________, 20__] (the “Temporary Increase Period”), and the Lenders have agreed to such Temporary Increase upon the terms and conditions set forth in the Credit Agreement and this Temporary Increase Agreement.

• At any time that a Temporary Increase is in effect, the Maximum Aggregate Purchase Price shall equal the Temporary Maximum Aggregate Purchase Price and the Maximum Aggregate Purchase Price shall increase to the amount set forth in the Temporary Increase Request for all purposes of this Agreement and all calculations and provisions relating to the Maximum Aggregate Purchase Price shall refer to the Temporary Maximum Aggregate Purchase Price.
