• The Certificate Registrar shall effect such exchange by delivering to the Depository for credit to the respective accounts of such holders, a duly executed and authenticated Regulation S Global Certificate, representing the aggregate Certificate Balance of interests in the Temporary Regulation S Global Certificate initially exchanged for interests in the Regulation S Global Certificate.

Temporary Regulation S Global. SECURITY OR PERMANENT REGULATION S GLOBAL SECURITY TO RESTRICTED GLOBAL SECURITY. Prior to the expiration of the Registered Period, an Indirect Participant who holds an interest in the Temporary Regulation S Global Security through Euroclear or Clearstream will not be permitted to transfer its interest to a U.S. Person who takes delivery in the form of an interest in Restricted Global Securities. If the holder of a beneficial interest in the Permanent Regulation S Global Security at any time wishes after the expiration of the Restricted Period to transfer such interest to a Person who wishes to take delivery thereof in the form of a beneficial interest in the Restricted Global Security, such transfer may be effected, subject to the Applicable Procedures, only in accordance with this paragraph (j) and paragraph (n) below. Upon receipt by the Trustee, as Registrar, of (A) written instructions given by or on behalf of the Depository in accordance with the Applicable Procedures directing the Trustee to credit or cause to be credited to a specified Agent Member's account a beneficial interest in the Restricted Global Security in a specified principal amount and to cause to be debited from another specified Agent Member's account a beneficial interest in the Permanent Regulation S Global Security in an equal principal amount and (B) a certificate in substantially the form set forth in Exhibit I signed by or on behalf of the holder of such beneficial interest in the Permanent Regulation S Global Security, the Trustee, as Registrar, shall, subject to paragraph (n) below, reduce the principal amount of such Permanent Regulation S Global Security and increase the principal amount of the Restricted Global Security by such specified principal amount.
