Temporary Waiver has the meaning set forth in Section 6.14(d). "Termination Date" has the meaning set forth in Section 8.01(b). "Transaction Agreement" has the meaning set forth in Section 3.01. "Transactions" means (i) the Contribution, (ii) the Distribution, (iii) the Company Charter Amendment, (iv) the Newco Charter Amendment, (v) the borrowing by the Company of the New Company Debt, (vi) and any other transactions contemplated by this Agreement (including the Merger) and the Transaction Agreements. "Transfer Agent" means First Chicago Trust Company of New York. "Transferee DB Plan" has the meaning set forth in Section 6.11(d). "Transferee DC Plan" has the meaning set forth in Section 6.11(c). "Transferred Employees" has the meaning set forth in Section 6.11(b). "Working Capital Amount" means the difference between (x) the total current assets of the Company and its Subsidiaries and (y) the total current liabilities (other than the New Company Debt, the Existing Company Debt and Deal Expenses) of the Company and its Subsidiaries (in each case calculated in accordance with GAAP immediately prior to the Effective Time and after giving effect to the Contribution, the Distribution and the disposition of cash and cash equivalents contemplated by Section 6.24).

Temporary Waiver means the agreements set forth in Sections 1.01, 1.02 and 1.03 of this Exhibit D.

• Other than with respect to the differing rate floors during the Temporary Waiver Period, the Interest Periods and all other payment and interest terms applicable to the Term Loans will be applicable to the Term Hedged Tranche and the Term Unhedged Tranche.

• If you elect to cancel your Membership, or let it lapse at the end of the Temporary Waiver Period, your Membership will be deemed terminated as of such date.

• Pursuant to the Limited Waiver, the Lenders agreed to temporarily waive the Specified Defaults during the Temporary Waiver Period on the terms and conditions contained therein.

More Definitions of Temporary Waiver

Temporary Waiver means the temporary waivers granted under the Waiver Letters. We note that the Temporary Waiver is due to expire on 31st March, 2003. Terms defined in the Facility Agreement or the Waiver Letters shall have the same meaning when used in this letter, save where expressly defined otherwise.

Temporary Waiver means the limited waiver of the Specified Events of Default for the period as specified herein, which waiver shall expire and no longer be in effect upon and following the Termination Date.
