Temporary Waiver has the meaning set forth in Section 6.14(d).

"Working Capital Amount" means the difference between (x) the total current assets of the Company and its Subsidiaries and (y) the total current liabilities (other than the New Company Debt, the Existing Company Debt and Deal Expenses) of the Company and its Subsidiaries (in each case calculated in accordance with GAAP immediately prior to the Effective Time and after giving effect to the Contribution, the Distribution and the disposition of cash and cash equivalents contemplated by Section 6.24).
Temporary Waiver means the agreements set forth in Sections 1.01, 1.02 and 1.03 of this Exhibit D.

More Definitions of Temporary Waiver

Temporary Waiver means the temporary waivers granted under the Waiver Letters. We note that the Temporary Waiver is due to expire on 31st March, 2003. Terms defined in the Facility Agreement or the Waiver Letters shall have the same meaning when used in this letter, save where expressly defined otherwise.
Temporary Waiver means the limited waiver of the Specified Events of Default for the period as specified herein, which waiver shall expire and no longer be in effect upon and following the Termination Date.
