Term and Survival definition

Term and Survival. The obligations under this Section 3.4 shall remain in effect during the term of this Agreement and for a period of three years following the termination or expiration of this Agreement. The provisions of this Section, including the confidentiality and non-compete obligations, shall survive any termination or expiration of this Agreement.

Examples of Term and Survival in a sentence

  • All provisions of this Agreement which must, in order to give full force and effect to the rights and obligations of the Parties hereto, survive termination or expiration of this Agreement, shall so survive, including, without limitation, Sections 2.6, 2.7, 2.13, 2.14, and Articles 1 (Definitions), 5 (Term and Survival), 7 (Billing and Settlement), 8 (Taxes), 9 (Indemnification), 10 (Limitations on Liability), 12 (Events of Default; Remedies), 13 (Dispute Resolution), and 16 (Miscellaneous).

  • The terms and conditions to which Customer agrees as part of the activation procedure (the “Offering-Specific Terms”), if any, will supplement the terms of the Agreement as they apply to the Cox Offering during the Offering Subscription Period, and will continue to supplement the terms of the Agreement as set forth in Section 2 (Term and Survival).

  • In addition to any provision that is reasonably necessary to accomplish or enforce the purpose of this Platform Agreement and those terms surviving in the TOS, the following sections shall survive the termination of this Platform Agreement, Section 10 (Liability), Section 13 (Taxes and Reporting), 15 (SynapsePay Liability) and Section 15 (Term and Survival) shall survive the termination of this Platform Agreement and TOS.

  • In the event that you subsequently process your Splitit Payment transactions through any other Processor without prior written consent of Splitit, this Agreement shall automatically terminate and be of no further force or effect in accordance with Section 18 (Term and Survival).

  • In the event that you subsequently process your Splitit Payment transactions through any other Processor without prior written consent of Splitit, this Agreement shall automatically terminate and be of no further force or effect in accordance with Section 6.6 (Term and Survival).

  • If Customer’s Total Service Charges do not reach the AVC in any Contract Year because the Agreement is terminated early by the Customer without Cause or by the Company with Cause, Customer shall pay an “Early Termination Charge” equal to 25% of the unmet AVC plus a pro rata portion of any credits received by the Customer Term and Survival: 36 months Commencing on the 4th Amendment Effective Date, the Term will start anew and continue for a period of 36 months.

  • Upon Disclosing Party’s request, Receiving Party will, subject to the terms of Clause "Confidential Information - Term and Survival": (a) cease using Confidential Information, (b) promptly destroy, to the extent technically and reasonably practicable, all Confidential Information in Receiving Party’s possession or control or return it to Disclosing Party.

  • Until the termination of this Agreement in accordance with Section 6.6 (Term and Survival), Merchant shall offer (“Offer”) to sell and assign to the Purchaser, any Splitit Receivable and its Related Rights that it originates through the Splitit Platform (“Eligible Splitit Receivables”).
