Terminated Compounds definition

Terminated Compounds means (a) all Collaboration Aptamers upon any termination of this Agreement by ARCHEMIX pursuant to Section 11.2.2 or 11.2.3 or by MERCK pursuant to Section 11.2.1; and (b) the relevant Collaboration Aptamers binding specifically to the Program Target for which MERCK’s license is terminated by ARCHEMIX pursuant to Section 11.2.2 due to failure of MERCK to meet its diligence obligations.
Terminated Compounds means, subject to Section 4.9, collectively:
Terminated Compounds means (a) all Collaboration Compounds upon any termination of this Agreement by ARQULE pursuant to Section 9.2.1(b), 9.2.2 or 9.2.3 or by DS pursuant to Section 9.2.1(a) and (b) the relevant Collaboration Compounds binding to AKT for which DS’ license is terminated by ARQULE pursuant to Section 9.2.2 due to failure of DS to meet its diligence obligations, as provided in Section 3.6.2.

Examples of Terminated Compounds in a sentence

  • Thereafter, such Terminated Compounds shall be Target Selective Compounds and subject to Biogen Idec’s licenses under Section 6.2 and obligations to pay royalties and milestones to Sunesis pursuant to Article 7.

  • All payment obligations with respect to the Terminated Compounds and Terminated Products in the Terminated Countries hereunder will terminate, other than those that are accrued and unpaid as of the effective date of such termination.

  • Thereafter, such Collaboration Compounds shall be deemed Terminated Compounds for the purposes of Section 6.2.4.

  • Notwithstanding the foregoing, MERCK shall not have the right to review any records that relate to any Failed Compounds, Waived Compounds or Terminated Compounds.

  • If the Terminated Target is the Licensed Compound Target, then all Licensed Products that Inhibit such Terminated Target will be deemed, collectively, to be Terminated Products, and all Licensed Compounds that Inhibit such Terminated Target will be deemed, collectively, to be Terminated Compounds.

  • If the Terminated Target is a Research Target, then all Research Products that bind specifically to, and thereby selectively modulate, such Terminated Target will be deemed, collectively, to be Terminated Products, and all Research Compounds or Selected Research Compounds, as applicable, that bind specifically to, and thereby selectively modulate, such Terminated Target will be deemed, collectively, to be Terminated Compounds.

  • During the applicable termination notice period, the Parties will begin to wind-down their respective activities under this Agreement to the extent related to the Terminated Compounds and Terminated Products in the Terminated Countries.

  • The Parties will appoint an appropriate committee to coordinate the wind-down of each Party’s efforts under this Agreement with respect to the Terminated Compounds and Terminated Products in the Terminated Countries.

  • If this Agreement is terminated pursuant to this Section 14.2 on a Licensed Compound-by-Licensed Compound basis, this Agreement will continue to survive in all respects with respect to all Licensed Compounds other than the Terminated Compounds.

  • No such rights shall exist with respect to Agensys Terminated Compounds or Agensys Terminated Targets.


More Definitions of Terminated Compounds

Terminated Compounds and “Terminated Products” has the meaning set forth in Section 12.2.
Terminated Compounds means the Licensed Compounds with respect to such Terminated Target (i.e., that bind to and modulate the function and/or expression of such Terminated Target), provided, however, that Terminated Compounds shall exclude in any case (i) any BMS Compounds; (ii) any Compounds resulting from a discovery or research program based on any Compound of clause (i), including any derivative of any Compound of clause (i); (iii) any Compounds that are Covered by composition-of-matter claims of Patents owned or Controlled by BMS, and (iv) any Compounds Covered in Exscientia Licensed Patents that Cover any Compound of clause (i), (ii) or (iii). “Terminated Products” means Licensed Products containing such Terminated Compounds. Accordingly, upon termination of the Agreement in any country with respect to a Collaboration Target, such Collaboration Target shall no longer be considered to be a Collaboration Target in such country and such Target shall be a Terminated Target with respect to such terminated country.
Terminated Compounds has the meaning set forth in Section 13.7(a).
