Termination Trade Date definition

Termination Trade Date means, with respect to any Terminated Obligation, the date so designated in the related Accelerated Termination Notice; provided that:
Termination Trade Date means, with respect to any Terminated Obligation, (a) where an Approved Dealer identified by Counterparty is acquiring the Reference Obligation or applicable portion thereof from UBS or its Affiliate pursuant to Section 4(a), the Termination Trade Date specified in the applicable Accelerated Termination Notice, or (b) otherwise the bid submission deadline as shall be set forth in each of UBS’ requests issued pursuant to Section 4(b) for Firm Bids for the portion of the Notional Amount allocable to such Terminated Obligation (expressed as a percentage and determined exclusive of accrued interest and capitalized interest) that are the basis for determining the Final Price of such Terminated Obligation.

Examples of Termination Trade Date in a sentence

  • The appeal must be in writing and delivered to the Title IX Coordinator no later than the 5th business day by 5:00 p.m. Central Time.

  • The Calculation Agent shall give notice (an "Accelerated Termination Notice") to each party (such termination, an "Accelerated Termination") on or prior to such Early Termination Date, which Accelerated Termination Notice shall specify each Reference Obligation that is the subject of such Accelerated Termination and, with respect to each such Reference Obligation, the amount of the Terminated Obligation, the proposed Termination Trade Date and the proposed Termination Settlement Date.

  • The Accelerated Termination Notice shall specify the Reference Obligation that is the subject of such Accelerated Termination, the amount of the Terminated Obligation, the proposed Termination Trade Date and the proposed Termination Settlement Date.

  • If the Final Price for any Terminated Obligation is not determined according to Clause 4(a), the Calculation Agent shall attempt to obtain Firm Bids for such Terminated Obligation with respect to the applicable Termination Trade Date from two or more Dealers.

  • For this purpose, the "Discount Rate" means the zero coupon swap rate (as determined by the Calculation Agent) implied by the fixed rate offered to be paid by Citibank under a fixed for floating interest rate swap transaction with a remaining Term equal to the period from such final Termination Trade Date to the final Second Floating Rate Payer Payment Date in exchange for the receipt of payments indexed to USD-LIBOR-BBA.

  • If there is no such Firm Bid, then the Calculation Agent shall designate a new Termination Trade Date; provided that the Calculation Agent shall designate a new Termination Trade Date pursuant to this paragraph only once.

  • The Calculation Agent will give Counterparty notice of its intention to obtain Firm Bids pursuant to this Clause 4 (such notice to be given telephonically and via electronic mail) not later than 5:00 p.m. New York time on the date three Business Days prior to the bid submission deadline as shall be specified by the Calculation Agent in each of its requests for Firm Bids for the Terminated Obligation with respect to the applicable Termination Trade Date.

  • Such notice must be given no later than 10 a.m. (New York time) on the applicable Termination Trade Date.


More Definitions of Termination Trade Date

Termination Trade Date means, with respect to any Terminated Loan Obligation, the date so designated in the related Optional Termination Notice; provided, however, that if the Calculation Agent determines (acting in a commercially reasonable manner and in good faith) that after taking into account the notional size of any Terminated Loan Obligation, it is unable to determine a Final Price on the related Termination Trade Date, it shall as soon as reasonably practicable designate a new Termination Trade Date (or multiple dates, if necessary) which coincide(s) with the ability to make such determination. The Calculation Agent shall notify the parties in writing (which may be in the form of email) of any Termination Trade Date designated by it pursuant to the foregoing proviso.
Termination Trade Date means, with respect to any Terminated Obligation, (a) where an Approved Dealer identified by Counterparty is acquiring the related Reference Obligation or applicable portion thereof from UBS or its Affiliate pursuant to Section 4(a), the Termination Trade Date specified in the applicable Accelerated Termination Notice, or (b) otherwise, the bid submission deadline for a Firm Bid or combination of Firm Bids for all of the Committed Amount (in the case of the A-R Note Transaction) or the Bond Reference Amount (in the case of a Bond Transaction) of such Terminated Obligation that are the basis for determining the Final Price of such Terminated Obligation as designated by the Calculation Agent pursuant to Clause 4(b) in order to cause the related Total Return Payment Date to occur as promptly as practicable.
Termination Trade Date means, with respect to any Terminated Obligation, the date so designated in the related Accelerated Termination Notice or as provided in Clause 3(e); provided that:

Related to Termination Trade Date

  • Trade Date has the meaning specified in Section 11.06(g)(i).

  • Termination Time means the time at which the right to exercise Rights shall terminate pursuant to Section 5.1 hereof.

  • Free Trade Date means, with respect to any Note, the date that is one (1) year after the Last Original Issue Date of such Note.

  • First Trade Date means the First Trade Date as specified in § 1 of the Product and Underlying Data.

  • Mandatory Termination Date means the "Termination Date" set forth under "Investment Summary--Essential Information" in the Prospectus for the Trust.

  • Termination Settlement Date means, for any Terminated Obligation, the date customary for settlement, substantially in accordance with the then-current market practice in the principal market for such Terminated Obligation (as determined by the Calculation Agent), of the sale of such Terminated Obligation with the trade date for such sale occurring on the related Termination Trade Date.

  • Outside Date has the meaning set forth in Section 8.1(b).

  • Liquidity Termination Date means the earlier to occur of the following:

  • Commitment Termination Date means the earlier of (a) the Maturity Date and (b) the earlier termination in whole of the Commitments pursuant to Section 2.04 or Article VII.
