Test Events definition

Test Events means any event, match, game, performance, assembly, competition, function or production:
Test Events any events performed by the LOC or the third parties upon approval of the LOC before the Asian Para Games 2026 Period for the purpose of enhancing the ability of management of the Asian Para Games 2026 “Ticket Programme”: the contents of the plan to sell or to have any third parties sell the admission tickets of the Asian Para Games 2026
Test Events means any event, match, game, performance, assembly, competition, function or production: (a) with more than 100 attendees; (b) conducted by the Operator; and (c) held within the Stadium or Sports Precinct (or both) during the State Access Period, for the purpose of functionality and scenario testing and planning of the Services in preparation for operational commencement. Third Party IP Claim has the meaning given to it in Clause 39.7(a).

Examples of Test Events in a sentence

  • In addition, Test Events will be considered Events for purposes of calculations of Adjusted Performance Factor, and so will be part of the calculation of Average Season Performance Factor.

  • For Test Events, the kWh of Load Relief used to calculate Performance Payments will not exceed the product of the Aggregation’s Portfolio Quantity and the length of the Test Event.

  • Con ▇▇▇▇▇▇ may conduct Test Events during any Capability Period of the Program Agreement in order to test Applicant’s response to a request for Load Relief.

  • Provide all equipment needed for the preparation of the FOP (e.g. inflat boats, tractors) for the Test Events and the Games.

  • Any DRaaS Test Event that: 1) last longer than forty eight (48) hours; or 2) exceeds the two (2) free DRaaS Test Events shall be billed according to the DRaaS Event NRC as identified above plus the Compute and Memory charges.

  • No world championship event will be organised by the Class Association less than 3 weeks before or 3 weeks after the pre-Olympic Test Events unless agreed with ISAF.

  • In the event Customer underperforms or fails to perform during a Test Event(s) or Demand Response Event(s), Customer’s Capacity Payments will be reduced by the applicable Underperformance Adjustment set forth above and such Underperformance Adjustment, if any, shall be offset against EnerNOC’s payments to Customer.

  • Any RaaS Test Event that: 1) last longer than forty eight (48) hours; or 2) exceeds the two (2) free RaaS Test Events shall be billed according to the RaaS Event NRC as identified above.

  • Con Edison may conduct Test Events during any Capability Period of the Program Agreement in order to test Applicant’s response to a request for Load Relief.

Related to Test Events

  • Adjustment Events the Partnership makes a distribution on all outstanding OP Units in Partnership Units, (B) the Partnership subdivides the outstanding OP Units into a greater number of units or combines the outstanding OP Units into a smaller number of units, or (C) the Partnership issues any Partnership Units in exchange for its outstanding OP Units by way of a reclassification or recapitalization of its OP Units. If more than one Adjustment Event occurs, the adjustment to the Class B Units need be made only once using a single formula that takes into account each and every Adjustment Event as if all Adjustment Events occurred simultaneously. For the avoidance of doubt, the following events shall not be Adjustment Events: (x) the issuance of Partnership Units in a financing, reorganization, acquisition or other similar business transaction, (y) the issuance of Partnership Units pursuant to any employee benefit or compensation plan or distribution reinvestment plan, or (z) the issuance of any Partnership Units in respect of a capital contribution to the Partnership, including a contribution by the General Partner of proceeds from the sale of securities by the General Partner. If the Partnership takes an action affecting the OP Units other than actions specifically described above as Adjustment Events and, in the opinion of the General Partner such action would require an adjustment to the Class B Units to maintain the one-to-one correspondence described above, the General Partner shall have the right to make such adjustment to the Class B Units, to the extent permitted by law, in such manner and at such time as the General Partner, in its sole discretion, may determine to be appropriate under the circumstances. If an adjustment is made to the Class B Units as herein provided, the Partnership shall promptly file in the books and records of the Partnership an officer’s certificate setting forth such adjustment and a brief statement of the facts requiring such adjustment, which certificate shall be conclusive evidence of the correctness of such adjustment absent manifest error. Promptly after the filing of such certificate, the Partnership shall mail a notice to each holder of Class B Units setting forth the adjustment to his, her or its Class B Units and the effective date of such adjustment.

  • Milestone Events has the meaning set forth in Section 3.3 (Milestone Payments).

  • Triggering Events means Triggering Event I, Triggering Event II and Triggering Event III, collectively.

  • Value Adjustment Event means, with respect to any Loan Asset, the occurrence of any one or more of the following events after the related Cut-Off Date:

  • Financial Covenant Event of Default has the meaning specified in Section 8.01(b).
