In addition, so long as any of the Bonds are outstanding, the Servicer shall provide to the Issuer, to the Texas Commission and to the Trustee, within a reasonable time after written request therefor, any information available to the Servicer or reasonably obtainable by it that is necessary to calculate the System Restoration Charges applicable to each Customer Class.
Any amendment or modification requiring the consent of the Texas Commission as provided in this Section 8.12 shall become effective on the later of (i) the date proposed by the parties to such amendment or modification and (ii) the first day after the expiration of the thirty(30)-day period provided for in this Section 8.12(b)(ii), or, if such period has been extended pursuant thereto, the first day after the expiration of such period as so extended.
If, within 30 days after the delivery of the Termination Notice, a new Servicer shall not have been appointed and accepted such appointment, the Trustee may petition the Texas Commission or a court of competent jurisdiction to appoint a successor Servicer under this Agreement.
If the Texas Commission or its staff requests an extension of time in the manner set forth in the preceding sentence, then the Texas Commission shall either provide notice of its consent or lack of consent to the person specified in Section 8.12(a)(iii) no later than the last day of such extension of time or be conclusively deemed to have consented to the proposed amendment or modification on the last day of such extension of time.
Following delivery of a request for consent to the Texas Commission by the Servicer under Section 8.01(a), the Servicer and the Issuer may at any time withdraw from the Texas Commission further consideration of any such request for consent.
The Servicer shall provide to the Rating Agencies, upon request, any publicly available reports filed by the Servicer with the Texas Commission (or otherwise made publicly available by the Servicer) relating to REPs and any other non-confidential and non-proprietary information relating to REPs reasonably requested by the Rating Agencies to the extent such information is reasonably available to the Servicer.
The Servicer shall not change the amount of or reschedule the due date of any scheduled payment of System Restoration Charges, except as contemplated in this Agreement or as required by applicable law or court or Texas Commission order.
Notwithstanding anything to the contrary contained herein, for the avoidance of doubt, any right, remedy or claim to which any Customer may be entitled pursuant to the Financing Order and this Agreement may be asserted or exercised only by the Texas Commission (or by the Attorney General of the State of Texas in the name of the Texas Commission) for the benefit of such Customer.
The Servicer shall make available for inspection, audit and copying to the Issuer, the Texas Commission and the Trustee or their respective duly authorized representatives, attorneys or auditors the System Restoration Property Records at such times during normal business hours as the Issuer, the Texas Commission or the Trustee shall reasonably request and that do not unreasonably interfere with the Servicer’s normal operations.
