We note that IBC-Brownsville has filed for a rehearing of the case underlying the Judgment by the Texas Court of Appeals, and that as of the date set forth above, the Texas Court of Appeals has not ruled on the IBC-Brownsville request for rehearing.

In any action or proceeding between any of the parties arising out of or relating to this Purchase Agreement or any of the transactions contemplated by this Purchase Agreement, each of the parties: (a) irrevocably and unconditionally consents and submits to the exclusive jurisdiction and venue of any state or federal court located in Dallas County, Texas (a “Texas Court”); and (b) agrees that all claims in respect of such action or proceeding may be heard and determined exclusively in any Texas Court.
These lawsuits were consolidated into a single action pending in the United States District Court for the Southern District of Texas (the "Southern District of Texas Court").
After the Company removed this case to federal court, the plaintiffs filed another new lawsuit in Michigan state court alleging only state law claims and also filed a duplicative complaint in the Southern District of Texas Court.
