The Acquiror definition

The Acquiror. Sub shall grant to US Xchange Directory LLC the right to use the name "US Xchange" either alone or in connection with other words, for its directory business, pursuant to the Trademark License Agreement in substantially the form attached hereto as Exhibit E.

  • The Acquiror Company has not received notice from any Governmental Authority or other Person that there is lacking any license, permit, authorization, approval, franchise or right necessary for the Acquiror Company to engage in its business as currently conducted and to permit the Acquiror Company to own and use its properties and assets in the manner in which it currently owns and uses such properties and assets.

  • The Acquiror Company does not have any “tax-exempt bond financed property” or “tax-exempt use property” within the meaning of Section 168(g) or (h), respectively of the Code.

  • The Acquiror Company is not a “consenting corporation” within the meaning of Section 341(f) of the Code.

  • Control share acquisition means, subject to specified exceptions, the acquisition, directly or indirectly, by any person of ownership of, or the power to direct the exercise of voting power with respect to, issued and outstanding control shares.
