The Shipowner will pay when due all Secured Obligations from time to time payable by the Shipowner under the Third Lien Indenture, its Guaranty, and the other Third Lien Note Documents and will observe, perform and comply with the covenants, terms and conditions herein and, as applicable, in the Third Lien Indenture, its Guaranty and any other Third Lien Note Documents, on its part to be observed, performed or complied with.
For the avoidance of doubt, if conditions (A), (B) and (C) above are not met, the Indebtedness under the Third Lien Note Documents may not be Refinanced without the consent of the First Lien Required Holders and the Second Lien Required Holders.
In the event of any assignment of this Mortgage by the Mortgagee in accordance with the applicable provisions of the Third Lien Indenture, any other Third Lien Note Documents and the Third Lien Intercreditor Agreement, as applicable, the term “Mortgagee” as used in this Mortgage shall be deemed to mean any such successor or permitted assignee.
In addition to principal, this Mortgage also secures the other Secured Obligations, including interest, costs and expenses of collection and other sums which are deemed to be secured by the relevant laws of the Republic of Panama, as provided in this Mortgage, the Third Lien Indenture and any other Third Lien Note Documents.
Section 2.1 The Shipowner acknowledges it is justly indebted in accordance with the terms of the Third Lien Indenture, its Guaranty, and any other Third Lien Note Documents.

More Definitions of Third Lien Note Documents

Third Lien Note Documents means the Third Lien Indenture, the Third Lien Subordination Agreement, Note Purchase Agreement (as defined in the Third Lien Indenture) and Note Exchange Agreement (as defined in the Third Lien Indenture), each as dated on the Amendment No. 3 Effective Date by and between the Credit Parties and the Third Lien Noteholders and/or Third Lien Agent, as applicable, or any of them, in connection therewith or related thereto, as all of the foregoing now exist or may hereafter be amended, restated, supplemented or otherwise modified from time to time in accordance with the Third Lien Subordination Agreement.

Third Lien Note Documents means the Third Lien Note Indenture and any other document executed and delivered in connection with the Third Lien Notes.

Third Lien Note Documents means, collectively, the Parent Third Lien Note Documents and the Spinco Third Lien Note Documents.

Third Lien Note Documents means the collective reference to the Third Lien Note Indenture, the Third Lien Notes, the Third Lien Security Documents and all agreements, documents and instruments at any time executed and/or delivered by any Credit Party or any other person to, with or in favor of Third Lien Agent or any Third Lien Noteholder in connection therewith or related thereto.

Third Lien Note Documents means Third Lien Notes Indenture, each Third Priority Security Document and each Third Priority Guarantee.
