Third Party Guarantee definition

Third Party Guarantee means any guarantee obtained by a Member Lending Institution in connection with the credit facility extended by it to a borrower except from Sole-Proprietor in case of Sole Proprietary concern, Partners in case of partnership / limited liability partnership, Trustees in case of Trust, Karta & Coparceners in case of HUF and promoter directors in case of private/ public limited companies and owner of the immovable property in case of guarantee under Hybrid / Partial collateral security model. pg. 3II.SCOPE AND EXTENT OF THE SCHEME
Third Party Guarantee means any Guarantee of Indebtedness or Disqualified Stock of any Non-Guarantor Subsidiary or any Affiliate or Associate of the Company other than the Note Guarantors,; provided that the following will not be deemed to be Third Party Guarantees:
Third Party Guarantee means, with respect to any Person, any obligation, contingent or otherwise, of such Person guaranteeing or having the economic effect of guaranteeing any Indebtedness of any other Person in any manner, whether directly or indirectly; and including any obligation of the guarantor, direct or indirect, (a) to purchase or pay (or advance or supply funds for the purchase or payment of) such Indebtedness or other obligation or to purchase (or to advance or supply funds for the purchase of) any security for the payment thereof, (b) to purchase or lease property, securities or services for the purpose of assuring the owner of such Indebtedness or other obligation of the payment thereof, (c) to maintain working capital, equity capital or any other financial statement condition or liquidity of the primary obligor so as to enable the primary obligor to pay such Indebtedness or other obligation or (d) as an account party in respect of any letter of credit or letter of guaranty issued to support such Indebtedness or obligation, provided, that the term Third Party Guarantee shall not include endorsements for collection or deposit in the ordinary course of business (including, but not limited to, third-party xxxx payment receipts and remittances, money-transfer services, or money-order sales) or a Guaranty in favor of the Agent.

  • There is no Third Party Guarantee by Borrower or any Subsidiary that is not reflected in such financial statements or in the notes thereto.

  • Any amount actually paid before the Commercial Operation Date by an Affiliated Guarantor under a Third Party Guarantee will be (i) deemed to be a Capital Contribution of the Member that is, or is an Affiliate of, such Affiliated Guarantor, (ii) applied against and reduce such Member's obligations to make Capital Contributions that next come due following the date of payment, and (iii) added to the Capital Account of such Member in accordance with Section 3.7(a) as of the date of payment.


More Definitions of Third Party Guarantee

Third Party Guarantee shall be enclosed as an annex to this Contract and shall specify that the guarantor shall undertake the following responsibilities:
Third Party Guarantee means a guarantee issued by a third party in favour of the Bank, including but not limited to a letter of credit or a comfort letter issued in connection with the grant of a Loan to a Borrower, and includes any undertaking by any party jointly liable for all or part of the Guaranteed Debtor’s obligations towards the Bank in respect of a Loan granted by the Bank.
