Each party will bear its own costs in the Third Party Referral process, and the parties will split equally the costs of the Third Party Panel members.

The fees and other expenses borne by Merchants, Third Party Referral Providers and other customers of the Company or any Company Subsidiary in exchange for the provisions of services are consistent in all material respects with the disclosure of such items to such Persons and comply in all material respects with applicable Network Rules and applicable Law.
