• Notwithstanding anything contained herein, Three Pillars or the Committed Purchaser may agree to extend any Purchase Expiration Date independently of the other Person if such other Person declines to extend such Purchase Expiration Date.

• Nothing contained herein shall terminate any security interests or subordinations previously granted in favor of Three Pillars Funding LLC (“TPF”) or SunTrust ▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇, Inc.

• Except as indicated on the Disclosure Schedule, all of such Contracts are Assumed Contracts.
