Threshold Goal definition

Threshold Goal means achievement of at least 50% of target for any one of Revenue, Income, or Earnings Per Share.
Threshold Goal means, as to either TSR or ROCE, the minimum performance level that the Company must achieve in order for fifty percent (50%) of the TSR Target Award or the ROCE Target Award, as the case may be, to vest and become nonforfeitable.
Threshold Goal means any performance goal that may be established by the Committee for the Performance Period and which is the minimum performance level that must be attained in order to any portion of an Actual Award to be earned for such Performance Period absent a Change in Control prior to expiration of such Performance Period. The Committee may, but is not required to, establish a Threshold Goal with respect to any designated Performance Period.

Examples of Threshold Goal in a sentence

  • If the Company does not achieve the Threshold Goal, the AIP will not be funded and Participants will earn no bonus under the AIP.

  • Prior to March 31st of any Performance Year, the Committee will have the discretion to establish a threshold goal (the “Threshold Goal”) and determine that, if the Threshold Goal is not met, the Earned Bonus Pool will be capped at a fixed amount (including $0) or the amount resulting from a specified formula.

  • Performance between the Threshold Goal and the Target Goal shall be interpolated on a straight-line basis; performance between the Target Goal and the Maximum Goal shall also be interpolated on a straight-line basis.

  • Unless otherwise determined by the Committee, there will be three categories of Performance Metrics: (1) Company-based Performance Metrics, (2) Business/Functional Segment-based Performance Metrics and (3) Individual-based Performance Metrics; provided that for any Performance Year there will be at least one Company-based Performance Metric or Business/Functional Segment-based Performance Metric (which could include the Threshold Goal).

Threshold Goal means the Performance Goal that must be achieved in order to earn any Award under the EIP as further described in Article V below.
