Tier 1 Pricing definition

Tier 1 Pricing is defined in Section 2.2(a).
Tier 1 Pricing means pricing consistent with market maker or market leader pricing available from Intel for the particular chipset and CPU products to be provided by Intel to NCD under this Agreement and specifically set forth in the Statement of Work and other additional Statements of Work. Such Tier 1 Pricing will be consistent with pricing offered to other market makers or market leaders shipping the largest volume of units in a given market segment. Tier 1 Pricing means the applicable pricing for Medtronic Products identified in the column entitled "TIER l"in the table set forth in the Products and Pricing Exhibit to the Agreement. a) Customer will be eligible for the Access or Tiered Pricing indicated below on all purchases of all Medtronic Products purchased hereunder, in each case dependent upon Customer's ability to demonstrate that it achievedthe applicable Performance Target during the prior Compliance Period. Accordingly, Customer will, as of the Effective Date and based on its good faith commitment to achieve the Access or Tiered Pricing Performance Target indicated below, receive the Access or indicated Tiered Pricing on all Medtronic Products purchased hereunder during the initial Compliance Period.

  • This structure contains three tiers as follows Tier 1: Pricing committee.

Related to Tier 1 Pricing

  • Level V Pricing applies on any day if no other Pricing Level applies on such day.

  • Level III Pricing applies on any day on which (i) the Borrower’s long-term debt is rated A- or higher by S&P or A3 or higher by Moody’s and (ii) neither Level I Pricing nor Level II Pricing applies.

  • Level I Pricing applies on any day on which the Borrower’s long-term debt is rated A+ or higher by S&P or A1 or higher by Moody’s.

  • Level II Pricing applies on any day on which (i) the Borrower’s long-term debt is rated A or higher by S&P or A2 or higher by Moody’s and (ii) Level I Pricing does not apply.

  • Level IV Pricing applies on any day on which (i) the Borrower’s long-term debt is rated BBB+ or higher by S&P or Baa1 or higher by Moody’s and (ii) none of Level I Pricing, Level II Pricing or Level III Pricing applies.

  • Catalog Pricing and Pricing Requirements

  • Established catalogue price means the price included in a catalogue, price list, schedule, or other form that:

  • Applicable Pricing Grid means the table set forth on Schedule 1.1C.

  • Applicable Pricing Level means, (a) for the Initial Pricing Period, Pricing Level II, and (b) thereafter, the pricing level set forth below opposite the Debt Rating achieved by Borrower as of the first day of that Pricing Period: I Greater than or equal to Aa3 / AA- II Less than Aa3 / AA- but greater than or equal to A1/A+ III Less than A1/A+ but greater than or equal to A2/A IV Less than A2/A but greater than or equal to A3/A- V Less than A3/A- provided that in the event that the then prevailing Debt Ratings are “split ratings”, Borrower will receive the benefit of the higher Debt Rating, unless the split is a “double split rating” (in which case the pricing level applicable to the middle Debt Rating will apply) or a “triple split rating” (in which case the pricing level applicable to the Debt Rating above the Debt Rating applicable to the lowest pricing level will apply). For purposes hereof, a Debt Rating is only a “split rating” if the Debt Rating applies to a different pricing level.

  • Qualifying Criteria means the criteria outlined in Section 3 and which is used to determine whether an individual is eligible to receive criminal Legal Aid;

  • Spread pricing means the model of prescription drug pricing in which the pharmacy benefits

  • Reference Schedule means the reference schedule in Part A of this Invitation

  • Established catalog price means the price included in a catalog, price list, schedule, or other form that:

  • Participating Certified Clinical Nurse Specialist means a Certified Clinical Nurse Specialist who has a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield Plan to provide services to you at the time services are rendered.

  • Approved clinical trial means a phase I, phase II, phase III, or phase IV clinical trial that is conducted in relation to the prevention, detection, or treatment of cancer or other life-threatening disease or Condition and is described in any of the following:

  • Monitoring Indicator means a measure of HSP performance that may be monitored against provincial results or provincial targets, but for which no Performance Target is set;

  • Pricing Level II shall exist on an Adjustment Date if the Consolidated Leverage Ratio for the relevant period is less than 3.50 to 1.00 but greater than or equal to 3.00 to 1.00.

  • Pricing Level III shall exist on an Adjustment Date if the Consolidated Leverage Ratio for the relevant period is less than 3.00 to 1.00 but greater than or equal to 2.50 to 1.00.

  • Standard reference compendia means the American Medical Association Drug Evaluations, the

  • Market Abuse means any unscrupulous behavior addressed by applicable regulations.

  • continuing candidate means any candidate not deemed to be elected, and not excluded,

  • mandatory control level RBC ’ means the product of .70 and the authorized control level RBC.

  • Board-Established Criteria means criteria that the Board of a Regulated Fund may establish from time to time to describe the characteristics of Potential Co-Investment Transactions regarding which the Adviser to the Regulated Fund should be notified under Condition 1. The Board-Established Criteria will be consistent with the Regulated Fund’s Objectives and Strategies (defined below). If no Board-Established Criteria are in effect, then the Regulated Fund’s Adviser will be notified of all Potential Co-Investment Transactions that fall within the Regulated Fund’s then-current Objectives and Strategies. Board-Established Criteria will be objective and testable, meaning that they will be based on observable information, such as industry/sector of the issuer, minimum EBITDA of the issuer, asset class of the investment opportunity or required commitment size, and not on characteristics that involve a discretionary assessment. The Adviser to the Regulated Fund may from time to time recommend criteria for the Board’s consideration, but Board-Established Criteria will only become effective if approved by a majority of the Independent Directors (defined below). The Independent Directors of a Regulated Fund may at any time rescind, suspend or qualify their approval of any Board-Established Criteria, though Applicants anticipate that, under normal circumstances, the Board would not modify these criteria more often than quarterly.

  • Non-Participating Certified Clinical Nurse Specialist means a Certified Clinical Nurse Specialist who does not have a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield Plan to provide services to you at the time services are rendered.

  • ESG Pricing Provisions has the meaning specified in Section 2.18.

  • Pricing Level V any time when (i) the senior unsecured long term debt rating of the Borrower by (x) S&P is BBB‑ or higher or (y) Xxxxx’x is Baa3 or higher and (ii) none of Pricing Level I, Pricing Level II, Pricing Level III or Pricing Level IV applies.
