Tier 1 Territory are Hong Kong, Indonesia, Macau, Malaysia, Philippines, Singapore, Taiwan and Vietnam. "Tier 2 Territory" are, subject to agreement between Principal and Distributor, Brunei, Cambodia, Myanmar and Thailand. The headings in this Agreement are inserted for convenience only and shall be ignored in construing this Agreement. Any word or expression defined in this Agreement, shall unless the context otherwise requires, have the same meaning when used in the Exhibits to this Agreement. Unless the context otherwise requires, in this Agreement: words using the singular or plural number also include the plural or singular number, respectively and words denoting any gender shall include all genders; references to any "person" include any natural person, corporation, judicial entity, association, statutory body, partnership, limited liability company, joint venture, trust, estate, unincorporated organisation or government, state or any political subdivision, instrumentality, agency or authority; the words "include" or "including" shall be deemed to be followed by "without limitation" or "but not limited to" whether or not they are followed by such phrases or words of like import; and references to any Party shall be construed as a reference to such Party's successors and permitted assigns;

Examples of Tier 1 Territory in a sentence

  • With respect to Tier 1 Territory, Principal hereby appoints Distributor as its distributor with exclusive rights for the importation, marketing, promotion, distribution and sale of the Products for the Field of Use in the respective Country/Region in the Tier 1 Territory during the Term and Distributor hereby agrees to act in that capacity, subject to the terms and conditions of this Agreement.
