Time Utilization definition

Time Utilization means the ratio, calculated on a monthly basis for Xxxxx and its Subsidiaries, of (i) the average number of units of aerial lift rental equipment on rent during such month divided by (ii) the average number of units of aerial lift rental equipment available for rent during such month; provided, however, that such calculation of such equipment which is available for rent shall exclude (1) for purposes of Section 8.21(a), any unit of rental equipment that (a) is in transit to, from or between rental locations and (b) is not available for rental because it is being maintained or serviced, such maintenance or service period not to extend longer than ninety (90) days, and (2) for purposes of Section 6.2(k)(ix), any unit of rental equipment while such unit is reflected in Xxxxx’x ledger accounts under “Equipment Down Long Term”.
