TIPLA definition

TIPLA shall have the meaning set forth in the recitals to this Agreement.
TIPLA means the Technology and Intellectual Property License Agreement dated October 24, 2005, by and between Purchaser and Yahoo!.

  • In the event that this Agreement is terminated pursuant to Section 6.1, this Agreement shall become void, and there shall be no liability on the part of Purchaser or Sellers or any of their Affiliates in connection therewith; provided, that the Parties’ obligations under the proviso of Section 1.6 (TIPLA Amendment Closing), Section 4.5 (Public Announcements) and this Section 6.2 and Article VII (Miscellaneous) shall survive any such termination.

  • All deliveries to be made or other actions to be taken at the Initial Repurchase Closing and the TIPLA Amendment Closing (each, a “Closing”) shall be deemed to occur simultaneously with the other deliveries and actions at such Closing.

  • The Company will use the proceeds from the Subscription only for any of the following: (i) the Yahoo! Initial Repurchase, (ii) the TIPLA Payment, (iii) reserve accounts under the Senior Facilities and (iv) fees and expenses relating to the above items and the financing of any of the above.
