January 31, 2005 Prior to December 31, 2006 All designated structures and buildings inside the Tissue Mill Reservation Area as depicted on Exhibit “A” and listed on Exhibit “B”.
The Port and Georgia-Pacific will separate the utilities used by the Tissue Mill from the utilities to be demolished and from those utilities needed for the Remaining Buildings and systems to be owned by the Port.
Thereafter, Georgia-Pacific shall be allowed to lease the Tissue Mill for its then fair rental value determined by mutual agreement or, failing agreement, by an MAI appraiser mutually acceptable to the parties or appointed by the Presiding Judge of the Whatcom County Superior Court.
Georgia-Pacific shall have the option, exercisable upon at least six (6) month’s written notice prior to the expiration the Reservation, to lease the Tissue Mill for a term of up to eighteen months at the rate of $350,000 per year plus applicable state leasehold excise tax provided that Georgia-Pacific (i) shall only have the right to utilize the ASB in a manner as approved by the Port that does not interfere with the Port’s remedial plans for the ASB and (ii) relocate the electrical substation.
Upon the occurrence of any loss of production by the Tissue Mill caused by a failure of MESC to provide Steam Processing Services or Power Processing Services as required under this Agreement, KCTC shall within a reasonable time make a preliminary determination of the causes of such loss of production and calculate any resulting Down Time.
Weekly maximums of $1350 for Newsprint Employees and $650 for Tissue Mill Employees, calculated up to 40 hours for day workers and an average of 42 hours for shift workers.
KCTC hereby waives any right it might have to terminate the MOA based upon any termination of the Pulp Mill Energy Services Agreement or the termination of the Tissue Mill Energy Services Agreement as a result of the implementation of the Settlement Agreement or any of the transactions provided for therein, including the entry by the Parties into this Agreement.
This Agreement supercedes and replaces the Tissue Mill Energy Services Agreement dated as of December 12, 1994, as amended, between KCTC (as successor to Scott Paper Company) and MESC (as assignee of MESH, formerly known as ▇▇▇▇▇e Energy Services Company, Inc.).
Georgia-Pacific will be responsible for the cost of the isolation of utilities to separate the ongoing Tissue Mill operation from the demolition area, including the cost of demolition of the unneeded aboveground utilities outside the Remaining Buildings.
MESC and KCTC shall each provide to the other any written notice either sends to, or receives from, a Governmental Authority with respect to the noncompliance or alleged noncompliance by MESC or the Energy Complex or KCTC or the Tissue Mill with any Environmental Law.
