Examples of Title Benefit Property in a sentence
Subject to the Individual Benefit Threshold and the Aggregate Benefit Deductible, with respect to each Title Benefit Property affected by Title Benefits reported under Section 4.3(a), the Unadjusted Purchase Prices of the affected Sellers shall be increased by an amount (the “ Title Benefit Amount”) equal to the increase in the Allocated Value for such Title Benefit Property, as determined pursuant to Section 4.3(c).
Title Benefit scheme has no Allocated Value, and such Title Benefit Property discount have proper Title or Amount.
With respect to each Title Benefit Property, an amount equal to the increase in the Allocated Value for such Title Benefit Property caused by such Title Benefit will be determined pursuant to Section 5.3(h) (the “Title Benefit Amount”), and pursuant to Section 5.3(i), such Title Benefit Amounts shall be exclusively used to offset any Title Defect Amounts that are finally determined under Section 5.3.
Without limiting Seller’s continuing right to assert Title Benefits until the Closing, if Seller and Buyer cannot agree on the existence of any Title Benefits or the applicable Title Benefit Amount for Title Benefits asserted on or before the Closing Date, the adjustments to the Closing Purchase Price with respect to Title Defects shall be offset by an amount equal to the Title Benefit Amount applicable for such Title Benefit Property as determined in good faith by Seller.
Notwithstanding any provisions herein to the contrary, if the Title Benefit Value for any single Title Benefit affecting a single Title Benefit Property is less than the De Minimis Title Benefit Amount, no offset to the Aggregate Title Defect Value for such Title Benefit Value shall be made.
