Title Condition definition

Title Condition means the Condition Precedent set forth in Section 8.1(b).

More Definitions of Title Condition

Title Condition. That all of the following are true as of the Closing Date: (a) delivery of the Pinebrook Deed and transfer tax forms to Buyer on the Closing Date (with the names and other blanks appropriately completed) shall be sufficient to transfer fee simple title to the real estate portion of the Collateral to Buyer on the Closing Date, subject only to Permitted Encumbrances, (b) delivery of organizational documents and resolutions from Borrower with respect to the Transaction, to the extent reasonably required by the title company issuing an owner’s title policy to Buyer, to evidence the authority of Borrower to execute and deliver the Pinebrook Escrow Documents (as defined in the Settlement Agreement), and (c) no Encumbrances shall encumber the Collateral on the Closing Date, other than Permitted Encumbrances.
Title Condition means a real burden, title condition, reservation, wayleave, condition, servitude or provision or restriction contained in the title to the Premises or applicable at common law or by statute affecting the Premises; and

  • Unsafe condition as used in this clause means the actual or potential exposure of contractor or Government employees to a hazardous material as defined in Federal Standard No. 313, and any revisions thereto during the term of this contract, or any other material or working condition designated by the Contracting Officer's Technical Representative (COTR) as potentially hazardous and requiring safety controls.

  • Record of survey map means a map of a survey of land prepared in accordance with Section 10-9a-603, 17-23-17, 17-27a-603, or 57-8-13.

  • Title V means Title V of the federal Act for the Senior Community Service Employment Program for Older Americans.

  • Special Conditions means Special Conditions of Contract, which override the General Conditions, also referred to as SCC.

  • Title Commitments has the meaning set forth in Section 5.9.

  • Nonconforming zoning condition means a physical improvement on a property that does not conform with current zoning standards.

  • Closing Conditions shall include, but are not limited to, SI Securities determining in its sole discretion that at the time of a closing, the Minimum Offering has been met, the investment remains suitable for investors, investors have successfully passed ID, KYC, AML, OFAC, and suitability screening, and that Issuer has completed all actions required by it as communicated by SI Securities at the time of a closing.

  • Escrow Release Conditions means, collectively, the conditions set forth in Section 4.3.

  • Permitted Exception means (a) liens for Taxes and other governmental charges and assessments which are not yet due and payable, (b) liens of landlords and liens of carriers, warehousemen, mechanics and materialmen and other like liens arising in the ordinary course of business for sums not yet due and payable, (c) other liens or imperfections on property which are not material in amount or do not materially detract from the value or the existing use of the property affected by such lien or imperfection, (d) such statements of fact and exceptions shown on any title insurance policies delivered to Global.

  • Environmental Condition means any condition or circumstance, including the presence of Hazardous Substances which does or would (i) require assessment, investigation, abatement, correction, removal or remediation under any Environmental Law, (ii) give rise to any civil or criminal Liability under any Environmental Law, (iii) create or constitute a public or private nuisance or (iv) constitute a violation of or non-compliance with any Environmental Law.

  • Special Condition means a condition of a Transporter's Licence or Shipper's Licence other than a Standard Condition;

  • Title Defects has the meaning set forth in Section 5.15(b).

  • Title Company means First American Title Insurance Company.

  • Title Defect Notice shall have the meaning set forth in Section 11.2(a).

  • Release Conditions mean the following conditions: (i) Company has received the Executive’s executed Release and (ii) any rescission period applicable to the Executive’s executed Release has expired.
