Any additional Title Updates proposed by Publisher may be subject to a reasonable charge.
Microsoft reserves the right to charge Publisher a reasonable fee to offset the costs associated with the Certification, hosting, and distribution of Title Updates to Xbox Live Users that are required because of revocation of Certification or a Software Title or Online Content adversely affecting Xbox Live.
Microsoft will not charge Publisher for the Certification, hosting, and distribution of Title Updates to Xbox Live Users for the first Title Update (if any) per Software Title or Online Content required by a specific change in the Xbox 360 Publisher Guide or for any other reason at Microsoft’s reasonable discretion.

STH or an STH Subsidiary has on the date of this Agreement and will have on the Closing Date good and indefeasible fee simple title to each of the STH Land and STH Improvements, free and clear of all liens except those securing STH Indebtedness as disclosed in the Title Policies, Title Commitments and Title Updates covering the STH Land and STH Improvements, and free and clear of all other conditions, exceptions or reservations, except such as do not have a Material Adverse Effect.
The costs and expenses of title insurance (but only with respect to “standard coverage” as opposed to “extended coverage” endorsements) and Title Updates shall be paid 50% by Sellers and 50% by Purchaser and Purchaser shall pay all other title insurance premiums and costs.

Purchaser may order updates of any Survey or new surveys (each a “Survey Update”, and together with Title Updates and Search Reports, “Updates”) at Purchaser’s sole cost and expense, and shall instruct the surveyor to forward a copy of any Survey Update and any further updates thereof to Sellers’ attorney and the Title Company simultaneously with the issuance thereof to Purchaser.
