TMS Rights definition
TMS Rights means the grant in Section 7.1.1 of the Operating Agreement by TMS to the Company of a non-exclusive, worldwide, perpetual, royalty-free right and license under the Patent Rights of TMS and Technology Controlled by TMS, and the Non-VSC Trademarks.
TMS Rights shall have the meaning given such term in Section 7.1.1.

Closing shall occur simultaneously with the closing of the purchase of the TMS Rights and Non-VSC Technology by Pegasus.
TMS is selling all of its assets, including, but not limited to, the TMS Rights and Non-VSC Technology (as defined in the Operating Agreement) excluding the TMS Interest to PIC Acquisition, Inc.
