TMUS Event definition

TMUS Event means TMUS’s long-term unsecured debt rating falls below “B2” by ▇▇▇▇▇’▇ and TMUSA’s long-term unsecured debt rating falls below “B” by S&P.
TMUS Event means TMUS’s long-term unsecured debt rating falls below “B21” by ▇▇▇▇▇’▇ and TMUSA’s long-term unsecured debt rating falls below “B+” by S&P. “TMUSA” shall mean T-Mobile USA, Inc., a Delaware corporation, and its successors in interest to the extent permitted hereunder. “Total Distribution Amount” shall mean, for each Payment Date, the sum of (i) the aggregate Collections in respect of Transferred Receivables deposited in the Collection Account and not previously applied and (ii) any interest received in connection with funds on deposit in the Collection Account and not previously applied. For the avoidance of doubt, the parties hereto acknowledge and agree that clause (ii) of the defined term “Total Distribution Amount” does not include collateral (if any) posted by a Cap Counterparty pursuant to the terms of an Eligible Interest Rate Cap. “Tranche Period” shall mean a specified period (as determined by the related Owner or Funding Agent) during which an Ownership Tranche will accrue interest by reference -49- ▇▇▇▇▇▇▇▇ T-Mobile (EIP) Third A&R RPAA NJ 231109207v1 736153181 19632398

Related to TMUS Event

  • ▇▇▇▇ Event means if there are any Mortgaged Properties at such time, any increase, extension or renewal of any of the Commitments or Loans (but excluding (i) any continuation or conversion of borrowings, (ii) the making of any Loan or (iii) the issuance, renewal or extension of Letters of Credit).

  • Distress Event means any of:

  • Acquisition Event means a merger or consolidation in which the Company is not the surviving entity, any transaction that results in the acquisition of all or substantially all of the Company’s outstanding Common Stock by a single person or entity or by a group of persons and/or entities acting in concert, or the sale or transfer of all or substantially all of the Company’s assets.

  • Flip-in Event means a transaction in or pursuant to which any Person becomes an Acquiring Person;

  • ii) Event means any event described in Section 11(a)(ii) hereof.
