Tooling and Equipment means any patterns, molds, dies, tools, fixtures, inspection gauges, tanks, instruments and other equipment used in connection with this Agreement.

Tooling and Equipment means [***] vehicle related tooling and equipment purchased by Owner under the agreements specified above in section B and C in background and further specified in Appendix A as amended from time to time. Such tooling and equipment is owned by the Owner but used and stored at the User’s or the Vendor’s site and used by the User or Vendor in relation to the production of [***]vehicle and/or components to the [***]vehicle manufactured by the User Group. “Trademarks” means trademarks (including part numbers that are trademarks), service marks, logos, trade names, business names, assumed names, trade dress and get-up, and domain names, in each case whether registered or unregistered, including all applications, registrations, renewals and the like, in each case to the extent they constitute rights that are enforceable against third parties. “User” shall have the meaning ascribed to it in the beginning of this Agreement. “User Group” means User and its Affiliates. “Vendor” means the Third Party supplier keeping certain Tooling and Equipment at its site on behalf of the Owner and for the production of components to the [***] vehicle manufactured by the User Group.

Examples of Tooling and Equipment in a sentence

  • Seller will provide to Buyer a complete copy of (a) the programming logic for any software incorporated in the Tooling and Equipment Products purchased by Buyer from Seller, and (b) access to the program logic controller.

  • Seller agrees to have all Tooling and Equipment made to Buyer’s specifications, as written in Buyer’s Statement of Work or Purchase Order, and in accordance with the procedures set forth in Buyer’s Tool Quote and Build Requirements Manual, as applicable.

  • During the Term, Catalent shall use the Client-Owned Tooling and Equipment only to Process Client’s Product, and shall not use the Client-Owned Tooling and Equipment for any other purpose without Client consent, such consent not to be unreasonably withheld, conditioned or delayed.

  • Catalent agrees to keep the Tooling and Equipment and the Client-Owned Tooling and Equipment in good and efficient working order at all times, for use in manufacturing the Products.

  • The preventative maintenance plan shall include, without limitation, at least two (2) complete sets of maintenance and operating manuals for all Tooling and Equipment purchased by Buyer (including one in a foreign language, if required by Buyer), as well as a detailed bill of material.

  • Excluding the Client-Owned Tooling and Equipment which shall be held by Catalent at Client’s risk and shall be fully insured by Client, all other Tooling and Equipment shall be held at Catalent’s risk and shall be kept insured by Catalent.

  • Normal tooling maintenance will be commenced by the Supplier and related costs charged as part of the price for the Contract Products, whereas update and replacement of the Unique Type Bound Tooling and Equipment will be controlled and paid separately by the Buyer or Geely Entity.

Related to Tooling and Equipment

  • Standard equipment means the basic configuration of a vehicle which is equipped with all the features that are required under the regulatory acts of the Contracting Party including all features that are fitted without giving rise to any further specifications on configuration or equipment level.
