Top-Up Payment definition

Top-Up Payment has the meaning set forth in Section 7.3(e)(ii).
Top-Up Payment means A multiplied by B, where (i) = the amount of consideration or other transfer of value per share (whether described as such or not and including without limitation any payment or transfer of value which is described as compensation for or in respect of any loss, cost or liability) which is in excess of the Suggested Price paid or made

  • The aggregate Initial Top-Up Payment may be paid by the Buyer, at its election, either in cash or by executing and delivering to the Company a promissory note having a principal amount equal to such payment, or by any combination of cash and such promissory note.

More Definitions of Top-Up Payment

Top-Up Payment shall have the meaning set forth in Section 5.2.2 hereof.
