Total Investment definition

Total Investment means the sum of the aggregate Capital Contributions made by a Member.
Total Investment means, at any time with respect to the Asset Interest, an amount equal to (a) the aggregate of the amounts theretofore paid to Seller as the Purchase Price pursuant to Section 1.1 less (b) the aggregate amount of Collections theretofore received and actually distributed to the Purchasers, and not reinvested as a Reinvestment, on account of each Purchaser Group’s aggregate Purchaser Group Investment pursuant to Section 1.3 (and not rescinded or otherwise returned or reinvested pursuant to Section 1.3).
Total Investment. Unmatured Event of Default”, “Unmatured Servicer Termination Event” or “Yield Period” or any of the definitions used in any such preceding definition, in each case without the prior written consent of each Committed Purchaser and each Purchaser Agent or (vi) release all or any material part of the Asset Interest from the security interest granted by the Seller to the Administrative Agent hereunder without the prior written consent of each Committed Purchaser and each Purchaser Agent; provided, further, that the consent of Seller and Servicer shall not be required for the effectiveness of any amendment which modifies on a prospective basis, the representations, warranties, covenants or responsibilities of Servicer at any time when Servicer is not CHS or an Affiliate of CHS or a successor Servicer is designated by Administrative Agent through a Successor Notice; provided, further, that (x) any amendment, waiver or modification to Section 3.1(d) that adversely affects the rights, duties or obligations of the Custodian or any other amendment, waiver or modification that adversely affects the fees, expenses or indemnities due to the Custodian or (y) any other amendment, modification or waiver that adversely affects the rights, duties or obligations of the Custodian in any material respect, in each case, shall require the prior written consent of the Custodian. Notwithstanding anything in any Transaction Document to the contrary, none of Seller or Servicer shall amend, waive or otherwise modify any other Transaction Document, or consent to any such amendment or modification, without the prior written consent of Administrative Agent and the Required Purchasers.

More Definitions of Total Investment

Total Investment has the meaning set forth in Section 2.03.
Total Investment means the total investment by the Parties as referred to in Article 19 herein. "Work Days" means all the days in a year less Saturdays, Sundays and the Chinese Statutory Holidays.

Total Investment means Owner’s total investment in the Hotels as of December 31, 2010, more particularly described in the Schedule attached hereto as Exhibit C. If any Hotels are sold during the term of this Agreement, the Total Investment will be reduced by an amount equal to the total investment for that particular Hotel or Hotels (as shown on Exhibit C). If any Hotels are added during the term of this Agreement, if there are any Capital Improvements for the Hotels, the Total Investment will be increased by an amount equal to Lessee’s total investment in said Hotel or Hotels and said Capital Improvements for the Hotels, and Lessee will immediately advise Operator of said increase in the Total Investment. Appropriate adjustment shall be made in the Total Investment if Hotels are added or subtracted or Capital Improvements are made, during the Fiscal Year. The Total Investment for the Hotels at December 31, 2010 is reflected on Exhibit C attached hereto (which excludes construction in progress). Amounts initially included in Total Investment which are subsequently reclassified to other balance sheet line items shall nonetheless remain included in the determination of Total Investment for purposes of this Agreement and for purposes of the amounts set forth on Exhibit C.
Total Investment means the sum of (A) the Initial License Fee, plus (B) all amounts paid by Arch Coal to ADA for evaluation, research and development activities of ADA under the Initial Statement of Work and all subsequent Statements of Work under this Agreement (collectively, the “Development Costs”), plus (C) the amount needed to yield a * annual return on the Total Investment. From and after such time as the aggregate of the Premiums received by Arch Coal equals the Total Investment, Arch Coal shall pay to ADA a royalty (the “Ongoing Royalty”) equal to *% of the Premium received by Arch Coal or its Affiliates; provided, however, that the Ongoing Royalty shall not exceed $1.00 per ton of Enhanced Coal sold by or on behalf of Arch Coal and its Affiliates. Notwithstanding anything in this Agreement to the contrary, if Arch Coal does not purchase Additives from ADA under the Supply Agreement during either (X) the three-year period commencing on the earlier of (i) January 1, 2015 or (ii) the date which the Regulations become effective and require reduction of Toxic Metals included in HAPs (such three-year period being the “Initial Period”) or (Y) any continuous three year period beginning on the day following the last day on which Arch Coal purchase Additives from ADA during the Initial Period, then the licenses granted in Sections 3.1 and 3.2 shall automatically become non-exclusive as of end of the first such three-year period during which Arch Coal failed to purchase Additives (the “Nonexclusivity Date”), and such licenses shall remain non-exclusive from that point forward.
Total Investment in these operations will include any loan proceeds, cash or stock invested by Group 1 to acquire the operations added to the Carr▇▇▇ ▇▇▇up after the date of this Agreement (including all investments made by Group 1 as a condition to manufacturer approval of such acquisitions).
