Total Option Profit definition

Total Option Profit means the aggregate amount (before taxes) of the following: (i) any amount received by Grantee pursuant to the Cash-Out Right, (ii)(x) the net consideration, if any, received by Grantee pursuant to the sale of Option Shares (or any other securities into which such Option Shares are converted or exchanged) to any unaffiliated party, valuing any non-cash consideration at its fair market value (as defined below), less (y) the Exercise Price and any cash paid by Grantee to Issuer pursuant to Section 7(a)(iii) or Section 7(b)(iii) and (iii) the net cash amounts received by Grantee on the transfer (in accordance with Section 12(g)) of the Option (or any portion thereof) to any unaffiliated party.
Total Option Profit means the aggregate amount (before taxes) of the following: (i) (x) the amount received by Grantee pursuant to Section 15, less (y) Grantee's purchase price for any Option Shares, (ii) (x) the amount received by Grantee pursuant to the sale of Option Shares to any unaffiliated party, valuing any non-cash consideration at its fair market value, less (y) Grantee's purchase price for such Option Shares, and (iii) any equivalent amount with respect to the Substitute Option.
Total Option Profit as of any Notice Date shall mean the aggregate amount (before taxes) of the following: (i) any amount previously received by Grantee pursuant to the Cash-Out Right and (ii) (x) the net consideration, if any, previously received by Grantee pursuant to the sale of Option Shares (or any other securities into which such Option Shares are converted or exchanged) to any unaffiliated party, valuing any non-cash consideration at its fair market value, less (y) the aggregate Purchase Price for such shares and any cash previously paid by Grantee to Issuer pursuant to Section 7(a)(iii).

  • Grant Amount or “Grant” means the total amount of financial assistance disbursed under this Agreement, which consists of the City's Amount and the Consultant’s Amount.

For purposes of computing Actual Deferral Percentages, an Employee who would be a Participant but for his failure to make Elective Deferrals shall be treated as a Participant on whose behalf no Elective Deferrals are made.
