Total Settlement Consideration definition

Total Settlement Consideration means the total amount payable by SafeRent to Payment Eligible Settlement Class Members under Section 4.7.1 of this Agreement, plus the Notice And Settlement Administration Costs, any Class Representative Service Awards, and any Settlement Class Counsel Attorneys’ Fees And Costs Award, together not to exceed two million two hundred and seventy five thousand dollars ($2,275,000.00).
Total Settlement Consideration means the sum of four million two hundred fifty thousand U.S. Dollars and Zero Cents ($4,250,000.00) paid by or on behalf of PurFoods, as specified in Paragraph 2.1. The Total Settlement Consideration represents the total extent of the Released Personsmonetary obligations under this Settlement Agreement.
Total Settlement Consideration means the maximum amount UPMC will be required to pay under the terms of this Agreement, which is $2,650,000.

  • As part of the Total Settlement Compensation, Defendant will pay Court-approved Settlement Class Counsel attorneys’ fees, costs, and expenses, in amount not to exceed a combined total of up to one-third of the maximum Total Settlement Consideration of $1,200,000.00.

  • Individual Settlement Payment means the amount payable from the Net

  • Gross Settlement Amount means $240,000 which is the total amount Standard agrees to pay under the Settlement, except as provided in Paragraph 8 below. The Gross Settlement Amount will be used to pay Individual Class Payments, Individual PAGA Payments, the LWDA PAGA Payment, Class Counsel Fees, Class Counsel Expenses, Class Representative Service Payment and the Administrator’s Expenses.

  • Net Consideration Per Share means the amount equal to the total amount of consideration, if any, received by the Company for the issuance of such warrants, options, subscriptions, or other purchase rights or convertible or exchangeable securities, plus the minimum amount of consideration, if any, payable to the Company upon exercise or conversion thereof, divided by the aggregate number of shares of Common Stock that would be issued if all such warrants, options, subscriptions, or other purchase rights or convertible or exchangeable securities were exercised, exchanged or converted.

  • Net Share Settlement Amount For any Settlement Date, an amount equal to the product of (i) the number of Warrants exercised or deemed exercised on the relevant Exercise Date, (ii) the Strike Price Differential for the relevant Valuation Date and (iii) the Warrant Entitlement.

  • Cash Settlement Amount means the “Cash Settlement Amount” as determined by the Calculation Agent in accordance with Paragraph 6.

  • Physical Settlement Amount For any Settlement Date for which Physical Settlement is applicable, an amount in cash equal to the product of (a) the Forward Price in effect on the relevant Settlement Date multiplied by (b) the Settlement Shares for such Settlement Date.

  • Structured settlement payment rights means rights to receive periodic payments under a structured settlement, whether from the structured settlement obligor or the annuity issuer, where:

  • Transaction Consideration has the meaning set forth in Section 11.7 hereof.

  • Settlement Amount has the meaning specified in Section 14.02(a)(iv).

  • Maximum Settlement Amount means the maximum amount the Company may be required to pay pursuant to this Settlement, which is the sum of Three Hundred Thousand Dollars ($300,000), excluding any of the Company’s employer-side share of FICA, FUTA, and other similar, mandatory employer-side payroll taxes. In no event shall the Maximum Settlement Amount exceed the foregoing sum.
