Tournament Events means an individual event in a Championship.
Tournament Events means an individual event of the Tournament in Region.

  • FEDERATION NATION, INC., DBA ▇▇▇▇▇▇▇ ▇▇▇▇ NATION Tournament Rules, a copy of which is attached hereto and incorporated by reference, (the Participation and Waiver Agreement and Official Rules collectively referred to herein as the “Agreement”) sets forth the terms and conditions upon which I will be permitted to participate in any or all ▇▇▇▇▇▇▇ ▇▇▇▇ NATION Tournament Events (the “Tournament Series”) during the present calendar year.

  • The Player acknowledges and agrees that he or she may be subject to fines, suspensions and/or disqualifications imposed by the Tournament Operator for violation of the Tournament Rules and that these fines, suspensions and/or disqualifications are reasonable and necessary in order to maintain the integrity of the PUBG MOBILE and Tournament Events.

  • The Player confirms that he or she is aware of the risks, dangers, and hazards associated with PUBG MOBILE play at the professional level in Tournament Events and he or she freely accepts and fully assumes all such risks, dangers and hazards and the possibility of personal injury, death, property damage or loss resulting from his or her participation in such activities.

  • The Player further agrees to: (1) play and compete to the best of his or her skill and ability in all Tournament Events; (2) maintain his or her eligibility to play in the Tournament (as set forth in the Tournament Rules); (3) maintain his or her public image as a professional player of PUBG MOBILE; and (4) comply with all applicable laws in the performance of his or her responsibilities pursuant to this Agreement.

  • In entering into this Agreement, the Player confirms that he or she is not relying on any oral or written statements or representations made by any person with respect to PUBG MOBILE, the Tournament Events, the Promotional Activities, the Team, the Tournament, the Tournament Operator, the Game Developer, or this Agreement.

  • The Player agrees to (1) wear only the uniforms, hats, clothing, shoes, patches, badges and other insignia and logoed items provided by the Team Owner at all Tournament Events and Promotional Activities; and (2) use, display and feature all equipment, peripherals, hardware, software, food items, beverage items, and other goods and services specified by the Tournament Operator at all Tournament Events and Promotional Activities.

  • The specifics of the issue/concerns need not be placed on the OPM 71.

  • The decision as to when and how often the Player will compete in Tournament Events shall be made by the Team’s head coach in his or her sole discretion.

  • Procurement Event means the request for proposals, the evaluation of proposals and bids for wholesale energy products, and the execution of the applicable supplier contracts with Ameren Illinois Company as a counterparty pursuant to the Procurement Plan for the period starting in June 2021, as proposed by the Illinois Power Agency and approved by the Illinois Commerce Commission in Docket No. 20-0717.

  • Payment Event means the event or events giving rise to the right to payment of a Performance Award.

  • Load Management Event means a) a single temporally contiguous dispatch of Demand Resources in a Compliance Aggregation Area during an Operating Day, or b) multiple dispatches of Demand Resources in a Compliance Aggregation Area during an Operating Day that are temporally contiguous.

  • Adjustment Events the Partnership makes a distribution on all outstanding OP Units in Partnership Units, (B) the Partnership subdivides the outstanding OP Units into a greater number of units or combines the outstanding OP Units into a smaller number of units, or (C) the Partnership issues any Partnership Units in exchange for its outstanding OP Units by way of a reclassification or recapitalization of its OP Units. If more than one Adjustment Event occurs, the adjustment to the Class B Units need be made only once using a single formula that takes into account each and every Adjustment Event as if all Adjustment Events occurred simultaneously. For the avoidance of doubt, the following events shall not be Adjustment Events: (x) the issuance of Partnership Units in a financing, reorganization, acquisition or other similar business transaction, (y) the issuance of Partnership Units pursuant to any employee benefit or compensation plan or distribution reinvestment plan, or (z) the issuance of any Partnership Units in respect of a capital contribution to the Partnership, including a contribution by the General Partner of proceeds from the sale of securities by the General Partner. If the Partnership takes an action affecting the OP Units other than actions specifically described above as Adjustment Events and, in the opinion of the General Partner such action would require an adjustment to the Class B Units to maintain the one-to-one correspondence described above, the General Partner shall have the right to make such adjustment to the Class B Units, to the extent permitted by law, in such manner and at such time as the General Partner, in its sole discretion, may determine to be appropriate under the circumstances. If an adjustment is made to the Class B Units as herein provided, the Partnership shall promptly file in the books and records of the Partnership an officer’s certificate setting forth such adjustment and a brief statement of the facts requiring such adjustment, which certificate shall be conclusive evidence of the correctness of such adjustment absent manifest error. Promptly after the filing of such certificate, the Partnership shall mail a notice to each holder of Class B Units setting forth the adjustment to his, her or its Class B Units and the effective date of such adjustment.

  • Amendment Event means that Counterparty amends, modifies, supplements, waives or obtains a waiver in respect of any term of the Indenture or the Convertible Notes governing the principal amount, coupon, maturity, repurchase obligation of Counterparty, redemption right of Counterparty, any term relating to conversion of the Convertible Notes (including changes to the conversion rate, conversion rate adjustment provisions, conversion settlement dates or conversion conditions), or any term that would require consent of the holders of not less than 100% of the principal amount of the Convertible Notes to amend (other than, in each case, any amendment or supplement (x) pursuant to Section 10.01(k) of the Indenture that, as determined by the Calculation Agent, conforms the Indenture to the description of Convertible Notes in the Offering Memorandum or (y) pursuant to Section 14.07 of the Indenture), in each case, without the consent of Dealer.
