Trade event definition

Trade event means an event to which fourteen (14) or fewer authorized attendees are invited and which is organized and conducted by or on behalf of one or more wholesalers, as defined in Regulation 47-100(I), for the purpose of exhibiting and providing information regarding alcohol beverage products and services offered by the participating wholesaler(s), to retailers licensed to buy such alcohol beverage products from the wholesaler(s), and to provide samples of such alcohol beverage products for consumption during the event.
Trade event means any New PV Trade Measure Event or withhold release order or other import restraint issued by U.S. Customs and Border Protection, other applicable Governmental Authority, or Trade Entity, including under the Uyghur Forced Labor Prevention Act, that: (i) to the extent of any cost increases or schedule delays with respect to the Facility that occur after the Subject Approvals Deadline; (ii) prevents or delays the delivery of or otherwise impacts the cost of the PV Panels for the Facility; and (iii) such event occurs despite the use by Seller of commercially reasonable efforts to avoid procurement or sourcing of PV Panels that were reasonably foreseeable to become subject to such event.

Related to Trade event

  • Downgrade Event means, unless otherwise specified on the Cover Sheet, for a Party means that Party’s Credit Rating falls below BBB- from S&P or Baa3 from Moody’s or becomes no longer rated by either S&P or Moody’s.

  • ii) Event means any event described in Section 11(a)(ii) hereof.

  • ii) Trigger Date shall have the meaning set forth in Section 11(a)(iii) hereof.

  • Swap Provider Trigger Event A Swap Termination Payment that is triggered upon: (i) an Event of Default under the Interest Rate Swap Agreement with respect to which the Swap Provider is a Defaulting Party (as defined in the Interest Rate Swap Agreement), (ii) a Termination Event under the Interest Rate Swap Agreement with respect to which the Swap Provider is the sole Affected Party (as defined in the Interest Rate Swap Agreement) or (iii) an Additional Termination Event under the Interest Rate Swap Agreement with respect to which the Swap Provider is the sole Affected Party.

  • Trigger Event shall have the meaning specified in Section 14.04(c).
