Trailer Fees definition

Trailer Fees means, where applicable, the trailer fees payable to registered dealers (other than referral agents) annually based on the Subscription Proceeds attributable to the Class of Units held in each registered dealer's client accounts. See "ITEM 7Compensation Paid to Sellers and Finders";
Trailer Fees means trailer fees of up to an aggregate 5% of the Gross Proceeds of the Offering which will be payable to Agents whose clients hold Offered Securities. Such Trailer Fees will be payable as follows: 1% on March 29, 2015; 1% on March 29, 2016; 1% on March 29, 2017; 1% on March 29, 2018; and 1% on March 29, 2019, while an Agent's clients hold the Offered Securities;

  • A statement showing the Trailer Fees calculated for the applicable Calculation Period shall accompany each Trailer Fees payment.
