Transaction Obligations definition

Transaction Obligations has the meaning assigned to such term in Section 9.14.
Transaction Obligations has the meaning defined in Section 3.1 of the Sponsor Agreement.
Transaction Obligations means all obligations, including Obligations, owing from time to time by the Parent, Fuels or LW and any of their respective Subsidiaries to Macquarie pursuant to this Agreement, the Guaranty or any other Transaction Document and shall include, without limitation, (a) all principal, premium, if any, reimbursement obligations, interest accrued or accruing (or which would, absent commencement of an Insolvency or Liquidation Proceeding, accrue) in accordance with the relevant Transaction Document and (b) all fees, costs, expenses, indemnifications, damages, guarantees, and charges and other liabilities or amounts incurred in connection with any of the Transaction Documents and provided for thereunder, in the case of each of clause (a) and clause (b) whether before or after commencement of an Insolvency or Liquidation Proceeding and irrespective of whether any claim for such interest, fees, costs, expenses, indemnifications, damages, guarantees, charges or other liabilities or amounts is allowed as a claim in such Insolvency or Liquidation Proceeding.

Examples of Transaction Obligations in a sentence

  • Unless otherwise provided in the Transaction Documents, all covenants, agreements, indemnities, representations and warranties made in any of the Transaction Documents survive and continue in effect as long as the Transaction Obligations are outstanding.

  • Zero Hash shall review the outstanding balance owed by Participant as a result of Transaction Obligations associated with any trading activity on the Transaction Platforms.

  • Zero Hash will report the Transaction Obligations to Participant and to the relevant custodian for capital movements, and, depending on the particular Transaction, Initial Margin may be transferred directly to (from) Participant's Available Account from (to) Participant's Collateral Account, increasing (decreasing) Available Account for Participant.

  • To calculate the Transaction Obligations each Participant has due to open Transactions, if any, Zero Hash may use any of the following information: (1) the Compression Run results as calculated by Zero Hash; (2) the Initial Margin requirements as calculated by Zero Hash; (3) index values published by Zero Hash; (4) published settlement price data from each Transaction Platform; and (5) transaction information provided by each Transaction Platform.

  • Zero Hash prevents withdrawals from a Participant’s Available Account if Participant has any outstanding Transaction Obligations or outstanding accrued fees.


More Definitions of Transaction Obligations

Transaction Obligations means all obligations and liabilities of each Transaction Party under any Transaction Document, in each case however created, arising, or evidenced, whether direct or indirect, absolute or contingent, now or hereafter existing, or due or to become due.
Transaction Obligations means all obligations, including Obligations, owing from time to time by the Parent, Vertex Refining, the Company and any of the Company’s Subsidiaries to Macquarie pursuant to this Agreement, the Guaranties or any other Transaction Document to which it is a party and shall include, without limitation, (a) all principal, premium, if any, reimbursement obligations, interest accrued or accruing (or which would, absent commencement of an Insolvency or Liquidation Proceeding, accrue) in accordance with the relevant Transaction Document and (b) all fees, costs, expenses, indemnifications, damages, guarantees, and charges and other liabilities or amounts incurred in connection with any of the Transaction Documents and provided for thereunder, in the case of each of clause (a) and clause (b) whether before or after commencement of an Insolvency or Liquidation Proceeding and irrespective of whether any claim for such interest, fees, costs, expenses, indemnifications, damages, guarantees, charges or other liabilities or amounts is allowed as a claim in such Insolvency or Liquidation Proceeding; provided, however, that, for the avoidance of doubt, obligations of the Company pursuant to the Vertex Renewables Guaranty shall not constitute “Transaction Obligations”.
Transaction Obligations means all obligations due and owing or that may become due and owing and any and all performance obligations, including in respect of covenants and obligations to be performed pursuant to this Agreement and all other Transaction Documents, in each case, from time to time by the Company and any of its Subsidiaries, including, without limitation, Designated Affiliates, to Macquarie or any of its Affiliates, including, without limitation, Designated Affiliates, pursuant to this Agreement or any other Transaction Document and all outstanding transactions hereunder and thereunder, and shall further include, without limitation, (a) all principal, premium, if any, reimbursement obligations, interest accrued or accruing (or which would, absent commencement of an Insolvency or Liquidation Proceeding,
Transaction Obligations means each and every covenant ----------------------- and obligation of Tenant to Landlord created in or arising under the Sublease and each of the other Transaction Documents, including, but not limited to, the payment of all rent, property taxes, insurance premiums, amounts owing under any indemnities, and any and all other charges or sums, or any portion thereof, to accrue or become due from Tenant to Landlord pursuant to the terms of the Sublease.

  • Indemnification Obligations means each of the Debtors’ indemnification obligations in place as of the Effective Date, whether in the bylaws, certificates of incorporation or formation, limited liability company agreements, other organizational or formation documents, board resolutions, management or indemnification agreements, or employment or other contracts, for their current and former directors, officers, managers, members, employees, attorneys, accountants, investment bankers, and other professionals and agents of the Debtors.

  • Unasserted Obligations means, at any time, Obligations for taxes, costs, indemnifications, reimbursements, damages and other liabilities (except for (i) the principal of and interest on, and fees relating to, any Indebtedness and (ii) contingent reimbursement obligations in respect of amounts that may be drawn under Letters of Credit) in respect of which no claim or demand for payment has been made (or, in the case of Obligations for indemnification, no notice for indemnification has been issued by the Indemnitee) at such time.

Should other markets be formed such that Participants may incur future Obligations in those markets, then the aggregate amount of those Obligations will also be added to the Net Obligation.

  • Excluded Hedge Liability or Liabilities means, with respect to each Borrower and Guarantor, each of its Swap Obligations if, and only to the extent that, all or any portion of this Agreement or any Other Document that relates to such Swap Obligation is or becomes illegal under the CEA, or any rule, regulation or order of the CFTC, solely by virtue of such Borrower’s and/or Guarantor’s failure to qualify as an Eligible Contract Participant on the Eligibility Date for such Swap. Notwithstanding anything to the contrary contained in the foregoing or in any other provision of this Agreement or any Other Document, the foregoing is subject to the following provisos: (a) if a Swap Obligation arises under a master agreement governing more than one Swap, this definition shall apply only to the portion of such Swap Obligation that is attributable to Swaps for which such guaranty or security interest is or becomes illegal under the CEA, or any rule, regulations or order of the CFTC, solely as a result of the failure by such Borrower or Guarantor for any reason to qualify as an Eligible Contract Participant on the Eligibility Date for such Swap; (b) if a guarantee of a Swap Obligation would cause such obligation to be an Excluded Hedge Liability but the grant of a security interest would not cause such obligation to be an Excluded Hedge Liability, such Swap Obligation shall constitute an Excluded Hedge Liability for purposes of the guaranty but not for purposes of the grant of the security interest; and (c) if there is more than one Borrower or Guarantor executing this Agreement or the Other Documents and a Swap Obligation would be an Excluded Hedge Liability with respect to one or more of such Persons, but not all of them, the definition of Excluded Hedge Liability or Liabilities with respect to each such Person shall only be deemed applicable to (i) the particular Swap Obligations that constitute Excluded Hedge Liabilities with respect to such Person, and (ii) the particular Person with respect to which such Swap Obligations constitute Excluded Hedge Liabilities.

  • Seller Obligations means all present and future indebtedness, reimbursement obligations, and other liabilities and obligations (howsoever created, arising or evidenced, whether direct or indirect, absolute or contingent, or due or to become due) of the Seller to any Purchaser Party, Seller Indemnified Party and/or any Affected Person, arising under or in connection with this Agreement or any other Transaction Document or the transactions contemplated hereby or thereby, and shall include, without limitation, all obligations of the Seller in respect of the Seller Guaranty and the payment of all Capital, Yield, Fees and other amounts due or to become due under the Transaction Documents (whether in respect of fees, costs, expenses, indemnifications or otherwise), including, without limitation, interest, fees and other obligations that accrue after the commencement of any Insolvency Proceeding with respect to the Seller (in each case whether or not allowed as a claim in such proceeding).

  • Service obligation means the contractual obligation undertaken by an individual under section 2705 or section 2707 to provide health care services for a determinable time period at a site designated by the department.

  • Swap Agreement Obligations means any and all obligations of the Loan Parties and their Subsidiaries, whether absolute or contingent and howsoever and whensoever created, arising, evidenced or acquired (including all renewals, extensions and modifications thereof and substitutions therefor), under (a) any and all Swap Agreements permitted hereunder with a Lender or an Affiliate of a Lender, and (b) any and all cancellations, buy backs, reversals, terminations or assignments of any such Swap Agreement transaction.

  • Reference Obligation means an obligation used for the purposes of determining the cash settlement value of a credit derivative;

  • Refunded Obligations means, collectively, the Refunded Notes, if any, and the Refunded Bonds, if any, refunded by each Series.

  • Repurchase Obligations shall have the meaning assigned thereto in Article 6(a).

  • Bank Products Obligations of any Person means the obligations of such Person pursuant to any Bank Products Agreement.
