Transfer Activities definition

Transfer Activities means any transfer of bluefin tuna
Transfer Activities means those activities to be performed by AstraZeneca as set out in Sections 3.1 and 4.

  • Notwithstanding any provision to the contrary in the Agreement, any and all Transfer Activities shall solely be upon IMSCP’s written request (subject to a reasonable notice period) and during normal business hours.

  • Cue will invoice IMSCP for the remaining FTE Costs and documented out-of-pocket costs incurred to provide such Transfer Activities in excess of its advance payments, and IMSCP will pay the invoiced amounts within [**] of receipt of invoice.

  • Prior to Cue commencing any Transfer Activities for which Cue is to be reimbursed for FTE Costs and out-of-pocket costs, IMSCP will make an advance payment for at least [**] percent ([**]%) of such anticipated Transfer Activities (such advance payment to be a reasonable estimate mutually agreed upon by the Parties).

  • If any payment for Transfer Activities is disputed or not timely made in accordance with the foregoing, Cue will have the right to suspend such Transfer Activities until IMSCP pays Cue any and all amounts accrued and due.

Transfer Activities means the transfer from Vividion to Roche of the data, Materials, Know-How, documentation and other items in Vividion’s Control (including through its Affiliates), and reasonable technical assistance, in each case, to the extent reasonably necessary for Roche to continue development of the Original Compounds, along with such other commercially reasonable actions which may be conducted by Vividion to effectuate transfer of responsibilities, in each case in accordance with and as described in the applicable Transfer Plans. The termTransfer Plan” shall mean a plan for the Transfer Activities. Each Transfer Plan may consist of multiple sections applicable for relevant functions (e.g. regulatory, clinical, safety, manufacturing, clinical). The JRC will establish and oversee the Partiesactivities under each Transfer Plan.

Transfer Activities means the transfer from Dicerna to Roche of the data, Materials, Know-How (including the GalXC Platform), documentation and other items in Dicerna’s possession (including through its Affiliates), and reasonable technical assistance, in each case, to the extent reasonably necessary or useful for Roche to continue Development of the Transfer Compounds, along with such other commercially reasonable actions which may be conducted by Dicerna to effectuate transfer of responsibilities and use good faith efforts to make relevant assignments (to the extent Dicerna has the right to do so) related to the Transfer Compounds, for example, with Regulatory Authorities, patent offices, Third Party contract manufacturing organizations (each a “CMO”), Third Party contract research organizations (each a “CRO”) and Clinical Study investigators. Transfer Activities are to be made at the appropriate time on or after the Effective Date with respect to the Lead Transfer Compounds (“Lead Transfer Activities”) and Selected Target Transfer Compounds (“Selected Target Transfer Activities”) and shall be made (i) as set forth in this Agreement, (ii) in accordance with the applicable Transfer Plans or (iii) as otherwise reasonably requested by Roche.
