Transfer Interests definition

Transfer Interests has the meaning set forth in Section 11.6.A.
Transfer Interests means the Equity Interests proposed to be transferred, or transferred by a Transferring Owner pursuant to a Transfer.

Examples of Transfer Interests in a sentence

  • A Participant intending to Transfer Interests pursuant to this Section 4.03 shall provide at least 10 days prior written notice of such proposed transfer to CWEI.

  • If the Transfer Interests are not transferred to the Proposed Buyer within such six-month period in accordance with the preceding sentence, a new Sale Notice shall be given to the Company, and the Company shall again be offered a right of first refusal under this Section 11 before the Warrant, any portion thereof or any Shares, as the case may be, may be sold or otherwise transferred.

  • To exercise its Right of First Refusal, the Company must deliver written notice to Seller of such exercise during the Exercise Period indicating the number of Transfer Interests it wishes to purchase pursuant to the Right of First Refusal.

  • The Company shall have the exclusive right, for a period of thirty (30) days from its receipt of the Sale Notice, to make an offer to purchase the Transfer Interests at a price to be proposed by the Company.

  • The ROFR Members shall have the right to purchase any portion of the Transfer Interests not purchased by the Company (the “Remaining Interests”) on the same terms and conditions as specified in the Transfer Notice.

  • Upon the earlier to occur of (i) expiration of the Exercise Period or (b) the time when S▇▇▇▇▇ has received written confirmation from each Member regarding its exercise of its Right First Refusal, the Members shall be deemed to have made their election with respect to the Transfer Interests.

  • To exercise its Right of First Refusal, an ROFR Member (a “Purchasing Member”) must deliver written notice of such exercise to Seller within the Exercise Period indicating the number of Transfer Interests it wishes to purchase pursuant to the Right of First Refusal.

  • For a period of twenty (20) days after the Transfer Notice has been last delivered to the Company and the Members (the “Exercise Period”), the Company shall have the right to purchase all, or any part of the Transfer Interests, on the same terms and conditions as specified in the Transfer Notice.

  • If a Member elects not to purchase any remaining Transfer Interests, the other Members (other than the Transferring Member) shall have the pro rata right (upon notice to the Company) to purchase such Interests.

  • Upon the earlier to occur of (i) expiration of the Exercise Period or (b) the time when ▇▇▇▇▇▇ has received written confirmation from each Member regarding its exercise of its Right First Refusal, the Members shall be deemed to have made their election with respect to the Transfer Interests.
