Transfer Outflow definition

Transfer Outflow means:
Transfer Outflow means, with respect to any period, the aggregate amount that Tenant pays for the Premises to Landlord as Rental under this Lease (it being understood that if the applicable Transfer constitutes an assignment of Tenant’s interest hereunder, then the Transfer Outflow therefor shall be zero).
Transfer Outflow means: (a) with respect to any Transfer that is a sublease or sublicense (or a further sublease or sublicense), the aggregate amount that the Transferor pays during the applicable period for the Premises (or the applicable portion thereof that is involved in the Transfer) to the counterparty under the Occupancy Agreement through which the Transferor derives its rights to the Premises (or the applicable portion thereof that is involved in the Transfer), and (b) with respect to any Transfer that is an assignment of the tenant’s interest under this Lease or the subtenant’s interest under a sublease or sublicense (or further sublease or sublicense), zero.
