Transferee Holders definition

Transferee Holders means any Person (other than the Company or the Existing Holders) that becomes a party to this Agreement pursuant to Section 2.9 and that holds Registrable Securities or Securities exercisable or exchangeable for, or convertible into, Registrable Securities.
Transferee Holders means, with respect to the occurrence of an event described in Sections 4 or 5 hereof concerning the particular Holder, each Person who, after the date hereof, acquires Securities from such Holder or a Transferee Holder of such Holder other than acquisitions of Securities effected in transactions to which the Right of First Refusal set forth in Section 4 hereof is applied. 2.

  • All actions required to be taken by, or approvals or consents of, the Transferee Holders under this Agreement (including with respect to any amendments pursuant to Section 3.9) shall be taken by consent or approval by, or agreement of, the holders of a majority of the outstanding Registrable Securities held by the Transferee Holders, taken together, at such time that provide such consent, approval or action in writing at such time.

  • In such capacity, Empire will provide the Company with financial advice and assistance in connection with the Private Placement, which may include assisting the Company in planning the Private Placement, reviewing with the Company and its counsel all preliminary and final Disclosure Materials and subscription documents, and working with the Company in identifying potential Transferee Holders and using Empire’s reasonable efforts to assist in locating such Transferee Holders.

  • A Transferee Holder will be entitled to receive an amount equal to the Baseline Distribution (i.e., Transferee Holders will only be entitled to receive an amount that they would have been entitled to receive if the Assumed Aggregate Unsecured Claims Amount is equal to the Final Aggregate Unsecured Claims Amount).
