Except for Stabilfin SRL, and M▇▇▇▇▇ ▇▇▇▇▇▇ TriArtisan LLC, there is no investment banker, broker, finder or other intermediary which has been retained by or is authorized to act on behalf of Parent, LuxCo, BHN or any of their Affiliates who might be entitled to any fee or commission from Sellers upon consummation of the transactions contemplated by this Agreement or any of the Additional Agreements.
The Units, the Shares, the Warrants and the Warrant Shares are collectively referred to herein as the “Securities.” The Company hereby confirms its agreement with ▇▇▇▇▇▇ ▇▇▇▇▇▇ TriArtisan LLC and Summer Street Research Partners (the “Placement Agents”) to act as Placement Agents in accordance with the terms and conditions hereof.

As of the date of the Closing, ▇▇▇▇▇ Investment Management LLC, Cowen Advisors LLC, ▇▇▇▇▇ Trading Strategies LLC, ▇▇▇▇▇ Sustainable Advisors LLC, TriArtisan Capital Advisors LLC, Cowen Investment Advisors LLC (dba) Ramius Advisors LLC, Healthcare Royalty Management, LLC and Cowen Prime Services LLC (dba) Cowen Prime Advisors are, subject to the immediately following sentence, the only U.S. investment adviser Subsidiaries of the Company (the “U.S. Investment Advisers”).
Parent has received the opinion of ▇▇▇▇▇▇ ▇▇▇▇▇▇ TriArtisan LLC, financial advisor to Parent, to the effect that, as of the date of such opinion, the Merger Consideration is fair to Parent from a financial point of view.
Except for ▇▇▇▇▇▇ ▇▇▇▇▇▇ TriArtisan LLC whose fees will be paid by Parent, there is no investment banker, broker, finder or other intermediary that has been retained by or is authorized to act on behalf of Parent who might be entitled to any fee or commission from the Company or any of its Affiliates upon consummation of the transactions contemplated by this Agreement.
Except for Tri-Artisan, LLC, the Company has not engaged any investment banker, broker or finder in connection with the transactions contemplated hereby.
For the avoidance of doubt, the Management Services Agreement, dated as of May 29, 2007, between Claire’s Stores, Inc., Bauble Holdings Corp., Apollo Management VI, L.P., Tri-Artisan Capital Partners, LLC and TACP Investments — Claire’s LLC as in effect on the date hereof, and any internal license fees or other intercompany operating expenses or operating expense reimbursement obligations not in the nature of a Sponsor management fee shall not be subject to this provision.
