true and correct means true and correct in all respects. Except as set forth on Schedule 11.9, in connection with time periods prior to the Closing Date (including, without limitation, in connection with the representations and warranties contained herein), and in all cases exclusive of the Excluded Items (as defined in the Contribution Agreement), reference to (i) the Company shall include TMP Directional Marketing, LLC, TMP Worldwide Directional Marketing, Inc. and MNST (but only with respect to the Business), (ii) the Company Subs shall include ▇▇▇▇▇▇.▇▇▇, Interface Realty, the Subsidiaries set forth on Schedule A, TMP Worldwide Inc., ▇’▇▇▇▇▇▇ Agency, in2, Inc., Providence Directory Solutions, Inc. and Telephone Directory Advertising, Inc. (but in each case only with respect to the Business) and (iii) the Companies shall include all of the entities set forth in (i) and (ii) hereof (but only with respect to the Business). It is hereby acknowledged and agreed that the reorganization set forth in Section 6.1(k) shall have been completed prior to the Closing Date.
