Trust Indemnitees definition

Trust Indemnitees. Has the meaning set forth in Section 5.1.

Trust Indemnitees means the Trust, the Sponsor and their respective affiliates and their respective nominees, directors, officers, employees and agents.

Examples of Trust Indemnitees in a sentence

• This agreement of indemnity will inure exclusively to the benefit of the Trust Indemnitees and their successors.

• In the event the Distributor elects to assume the defense of any such suit and retain such counsel, the Trust Indemnitees in such suit shall bear the fees and expenses of any additional counsel retained by them.

• If the Distributor does not elect to assume the defense of any such suit, or in case the Trust does not, in the exercise of reasonable judgment, approve of counsel chosen by the Distributor, or if under prevailing law or legal codes of ethics, the same counsel cannot effectively represent the interests of both the Trust Indemnitees and the Distributor, the Distributor will reimburse the Trust Indemnitees for the reasonable fees and expenses of any counsel retained by them.

• The Distributor’s indemnification agreement contained in Sections 7(D) and 7(E) herein shall remain operative and in full force and effect regardless of any investigation made by or on behalf of the Trust Indemnitees and shall survive the delivery of any Shares and the termination of this Agreement.

• The Distributor’s indemnification agreement contained in Sections 8(D) and 8(E) herein shall remain operative and in full force and effect regardless of any investigation made by or on behalf of the Trust Indemnitees and shall survive the delivery of any Shares and the termination of this Agreement.

• Provider's agreement to indemnify the Trust and any of the Trust Indemnitees shall not be deemed to cover any Losses to the extent they arise out of or result from the Trust’s willful misfeasance, bad faith or negligence in the performance of its duties, or by reason of its reckless disregard of its obligations and duties, under this Agreement.

• In case any action shall be brought against any Trust Indemnitees, in respect of which indemnity may be sought against the Distributor, the Distributor shall have the rights and duties given to the Trust, and each Trust Indemnitee shall have the rights and duties given to the Distributor, by the provisions of paragraph 4.1.

• Upon termination of the Employee's Term of Employment, the Employee shall transfer his position to a replacement in an orderly and efficient manner and shall return to the Company and Netect all documents, literature, equipment, computer hardware and software and other equipment belonging to or prepared for the Company or Netect, in the same condition (ordinary wear and tear excepted) as when delivered to him.

• Without limiting any other provision herein to the contrary, there are no third-party beneficiaries to this Agreement other than each of the MUIS Indemnitees and Trust Indemnitees and except as expressly provided for herein.
