The Trustee hereby (a) accepts the responsibilities imposed on it by the Plan and this Trust Agreement and agrees to observe and perform under the Plan and this Trust Agreement, (b) acknowledges and accepts the creation of the Trust and the assignment and transfer of the Trust Assets to the Trust, subject to the provisions of the Confirmation Order, the Plan and this Trust Agreement, and (c) agrees to assume, undertake and effectuate the Trust Purposes on behalf of the Trust.
On or after the Effective Date, the Trustee may establish and fund from the Trust Assets one or more funds, reserves or accounts (or sub-accounts) within the Trust as determined by the Trustee, in its reasonable discretion in consultation with the Trust Committee, to be necessary, appropriate or desirable in carrying out the Trust Purposes and consistent with the Plan and this Trust Agreement.
Subject to any express limitations contained in this Trust Deed or the Trustee Act 1956 or implied by general law, the Trustees shall be capable of holding real and personal property, of suing and being sued, and shall have all of the rights, powers and privileges of natural persons so that the Trustees may do all such things they consider necessary in their absolute discretion to perform or otherwise carry out the Trust Purposes.
The Expendable Trust is established and all Expendable Trust property shall be used and expended solely for the Trust Purposes.
The Trustees may join hands and pool the resources of the Trust with other persons including Government or Quasi- Government authorities or Agencies or Trustees of other Trusts or Societies and their resources the promotion of all or any of the Trust Purposes.
