TRW Employees. All persons actively employed by TRW in TRW's conduct of the Business who are (i) on the payroll of the Business as active employees as of the Closing or (ii) on leave for medical or other reasons as of the Closing at such time as such person is released to return to work, but excluding those persons who are listed on Appendix M and any person who has qualified for benefits under TRW's Long Term Disability Plan as of the Closing.
