TRW Group means TRW, each Subsidiary of TRW and each other Person that is either controlled directly or indirectly by TRW after the Closing Date.

  • After the Distribution Date, the TRW Group shall make available to the TRW Automotive Group, those of its employees whom the TRW Automotive Group may reasonably need in order to defend or prosecute any legal or administrative action to which any member of the TRW Automotive Group is a party and which relates to the conduct of the TRW Automotive Business prior to the Distribution Date.

  • Not later than ten (10) business days prior to each Estimated Tax Installment Date with respect to a taxable period for which a Foreign Combined Return or Combined Return (described in Section 2.02 of this Agreement) will be filed, TRW shall pay to TRW Automotive on behalf of the TRW Group an amount equal to the amount of any estimated TRW Separate Tax Liability that TRW otherwise would have been required to pay to a Taxing Authority on such Estimated Tax Installment Date.

Related to TRW Group

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Tax Group has the meaning set forth in Section 7.06(h)(iii).
